Requirements

  • Juris Doctor (J.D.) degree from an accredited U.S. law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Minimum of 5 years of experience practicing corporate law, with a significant focus on M&A transactions, either in-house or at a reputable law firm.
  • Strong understanding of corporate and securities law, and other regulations relevant to M&A.
  • Excellent analytical, communication, and negotiation skills.
  • Proven ability to manage multiple projects simultaneously and meet tight deadlines.
  • Candidate must already have work authorization that would permit them to work for Hitachi Energy in the United States.

Nice To Haves

  • Experience in the energy transmission and distribution sector, in the software industry or in a related industrial field, is a plus.

Responsibilities

  • Lead and manage legal aspects of M&A transactions.
  • Draft and negotiate key agreements and transaction documents.
  • Conduct and oversee comprehensive legal due diligence.
  • Advise internal teams throughout all phases of M&A deals.
  • Collaborate with external counsel and advisors for efficient execution.
  • Develop best practices for M&A legal processes and documentation.
  • Monitor legal and regulatory developments impacting M&A and energy.
  • Support post-closing integration activities.
  • Responsible to ensure compliance with applicable external and i nternal regulations, procedures, and guidelines.
