About The Position

Legal Counsel, Carelon Contracting Location: This role requires associates to be in-office 1 - 2 days per week, fostering collaboration and connectivity, while providing flexibility to support productivity and work-life balance. This approach combines structured office engagement with the autonomy of virtual work, promoting a dynamic and adaptable workplace. Alternate locations may be considered if candidates reside within a commuting distance from an office. The Legal Counsel is responsible for providing legal advice and recommendations for initiatives and projects developed in response to clients overall objectives and needs. Focus of work is on large scale and/or high financial level projects with broad department and/or organizational impact and moderate level of risk. Works as a strategic partner and decision maker with more senior leaders, and manages work independently. How you will make an impact: Negotiate and manage client contracts with health plan clients, state agencies, employer groups, and other clients of the Carelon Services businesses, including behavioral health, medical benefits utilization management, specialty care solutions, and care delivery companies. Collaborate with multiple business partners, shared services partners, and legal colleagues to harmonize, centralize, and improve existing contract management workflows and policies across the Carelon Services businesses. Become the resident expert on contract management practices and software. Partner with the businesses to implement technology tools and software to improve contract lifecycle management and contracting operations. Train the businesses and other legal team members on best practices and policies. Ensure that all client contracts clearly and accurately document key deal terms, comply with applicable laws and regulations, and appropriately allocate risk amongst the parties. Solicit feedback from multiple internal stakeholders on key contractual terms. Provide effective legal guidance and risk assessments to the business with respect to client contracting and deal terms, including financial, legal, regulatory, and compliance risk. May support the sales and growth function for assigned business units, including support for public and private procurements and RFP processes. Assist business with pre-litigation contractual dispute management. Prepare settlement agreements, letters of intent, confidentiality agreements and other legal documents as needed. Provide legal guidance on a range of health law, regulatory, contractual and operational matters impacting the Carelon Services businesses. Routinely works on complex problems in which analysis of situations and/or facts require an in-depth evaluation of various factors. Works autonomously and manages work independently. Escalates significant issues and risks, as well as proposed mitigation options, to business and legal leadership. May support the development of paralegals and legal specialists on the legal team. Oversee work of paralegals and legal specialists supporting client contracting. Light travel may be required.

Requirements

  • Requires a JD, current license to practice law and a minimum of 3 years of specific industry and/or technical legal experience post licensure; or any combination of education and experience, which would provide an equivalent background.

Nice To Haves

  • Prior experience in negotiating complex, high-value health plan contracts and services arrangements preferred.
  • Experience with legal operations at a large organization preferred.
  • Experience implementing and overseeing the use of contract management software preferred.
