WEX is seeking a dynamic and business-minded Legal Counsel to join our Commercial Americas team. In this role, you will be a key strategic partner to our rapidly growing Corporate Payments business. You will provide expert legal guidance on a wide range of matters, from complex commercial transactions and innovative product development to strategic partnerships.   • Structure, draft, and negotiate a diverse portfolio of commercial agreements, including customer credit and card program agreements, technology and partnership contracts, and vendor service agreements.
  • Provide crucial legal support for RFP responses and pre-litigation commercial disputes.
  • Serve as the lead legal partner for the entire product lifecycle, providing solution-oriented advice from initial development to launch and commercialization.
  • Draft critical documents like API terms, website terms of service, and user agreements for new features.
  • Proactively identify, analyze, and mitigate legal and business risks.
  • Ensure all agreements and business activities adhere to corporate policies and legal standards.
  • Play a role in M&A due diligence and business integration.
  • Enhance the legal team's efficiency by building and maintaining best-in-class processes for commercial contracting.
  • Develop templates, negotiation playbooks, and improve workflows with systems like contract lifecycle management (CLM).
  • Act as a trusted advisor to internal stakeholders in sales, operations, and product teams.
  • Collaborate closely with other members of the legal department and effectively manage outside counsel.
  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with at least one U.S. State Bar.
  • 5+ years of legal experience as a practicing attorney, either in-house or at a law firm.
  • Significant experience drafting, reviewing, and negotiating complex commercial agreements.
  • Excellent verbal and written communication skills, with an ability to explain complex legal issues to non-lawyers.
  • Proficiency with Microsoft Office and Google Suite.
  • In-house legal experience within the payments, fintech, or financial services industries.
  • Experience advising on product development lifecycles and technology transactions.
  • Familiarity with contract lifecycle management (CLM) and matter management systems.
  • Demonstrated ability to manage multiple high-priority projects and thrive in a fast-paced, collaborative environment.
