You will act as the managing counsel subject matter expert in derivatives legal documentation providing senior level legal contractual advice to the Global Markets team of Citizens Commercial Banking business. The role will also support the Global Markets team across a broad range of business issues which may involve strategic issues, product development, customers, regulatory development, processes, reporting, and compliance. You will also help to mitigate potential risk by ensuring the business or function operates within appropriate laws and regulatory guidance.   • Provide senior level legal contractual advice relating to derivatives legal documentation and guidance to businesses partners on issues, including those of broad impact or risk.
  • Independently review and negotiate complex ISDA agreements with parties who may be represented by counsel, senior executives and/or derivatives advisors.
  • Identify and mitigate potential risk to the company across the full spectrum of risk.
  • Stay up to date with regulatory change and incorporate into guidance and advice.
  • Assist on matters as needed in connection with maintenance of Citizens swap dealer registration compliance.
  • Work with Legal Department attorneys and external counsel to develop senior level legal assessments, interpretations, recommendations and opinions on laws, policies and regulatory issues.
  • Independently influence and shape business line/function's strategy and decisions.
  • Manage external counsel to ensure appropriate focus and cost effective value.
  • Actively participate as a member of a function or business line management committee representing sound legal contractual advice and counsel.
  • May have direct responsibility for the hiring, development, coaching and performance management of other counsel and legal staff.
  • Expertise negotiating ISDA Master Agreements (both the 1992 and 2022 forms) and other complex trading documentation.
  • 10-15 years negotiating ISDAs.
  • Bachelor's Degree required.
  • J.D. (preferred, but not required for an ISDA Negotiator/required for Counsel).
