About The Position

Morgan Stanley's New York office is seeking an Investment Banking Vice President to join the Shareholder Activism and Corporate Defense Practice. This role is pivotal in advising public company clients and their boards of directors on the increasingly important areas of shareholder activism defense and hostile takeover defense. The Vice President will be an integral part of the M&A Team, collaborating closely with Shareholder Activism and Corporate Defense Bankers, as well as coverage and M&A bankers across various geographies on multiple mandates. In this position, the banker will provide strategic advice and assistance to all industry coverage teams and Morgan Stanley clients, focusing on preparing for and responding to shareholder activists and hostile suitors. This includes advising on corporate governance and shareholder matters, such as responding to activist shareholder campaigns, unsolicited takeover bids, proxy contests, consent solicitations, special meeting demands, and other contests for corporate control. The Vice President will also be responsible for creating presentations and analyses for defense pitches to enhance client marketing and targeting efforts, as well as working on live defense mandates and proxy fights. The ideal candidate will have a strong background in investment banking, particularly in shareholder activism, and will be comfortable interpreting financial statements. The role demands a high level of motivation, commitment, and the ability to perform under pressure and tight deadlines. Strong written and verbal communication skills, along with excellent client and interpersonal skills, are essential for success in this position.
