About The Position

The In-House Counsel - Securities ('Counsel') will be working within the in-house legal department of Intesa Sanpaolo S.p.A., New York Branch, part of Intesa Sanpaolo's Corporate and Investment Banking Division. Counsel will support the Branch's Head of Legal in the day-to-day management of the legal affairs of (i) the Branch, and (ii) Intesa Sanpaolo IMI Securities Corp. (the 'Broker Dealer'), the U.S.-registered broker dealer of the Intesa Sanpaolo Group. Counsel's work will include, but not be limited to: drafting, review and/or negotiation of financing and securities-related agreements; providing general advice on U.S. securities laws; and handling the corporate governance for both the Broker Dealer and its direct parent IMI Capital Markets USA Corporation.

Requirements

• 3-5 years of experience in a similar role.
• Excellent contract drafting and negotiating skills.
• Ability to identify and analyze complex legal issues and devise solutions and strategies.
• Excellent work ethic and commitment to professionalism; excellent attention to detail.
• Professional, confident demeanor and superior analytical skills.
• Superior organizational, prioritization, and time management skills with the ability to execute multiple, high-priority projects.
• Specific knowledge of U.S. securities laws and regulations and U.S. broker-dealer legal practice; exposure to bank financing transactions is a plus.
• Ability to anticipate and understand the implications of agreements and contractual provisions, including identifying and assessing potential risks and impacts.
