Qualifications Best Best & Krieger LLP (BBK) is seeking a highly motivated health care transactions attorney with at least five years of experience to join our growing health care team. Our clients include hospitals, health care districts, clinics, physician groups, vendors, and other providers. We advise on a broad range of matters, including provider and vendor contracting; regulatory and compliance issues; acquisitions, affiliations, and restructurings; health care leases and real estate transactions; privacy and security of health information; managed care and health plan contracting; and payer-provider relationships. In this role, you will draft and negotiate provider and vendor agreements for hospitals, clinics, and physician groups, and structure transactions to ensure compliance with federal and state fraud and abuse laws, licensing requirements, and corporate practice of medicine restrictions.

Requirements

  • 5+ years of recent, hands-on health care transactional experience at a law firm or in-house with a provider, with significant responsibility for drafting and negotiating:
  • Physician and other professional services agreements (including medical director agreements).
  • Vendor and operations agreements (e.g., management services, billing/collections, telehealth, procurement).
  • Entity formation and transaction documents for acquisitions, sales, affiliations, and joint ventures.
  • Deep familiarity with federal and state fraud and abuse laws (Stark, Anti-Kickback Statute, False Claims Act) and ability to identify risk and craft compliant structures.
  • Excellent drafting, project management, and client service skills.
  • Bar admission in California.

Nice To Haves

  • Knowledge of HIPAA, EMTALA, and corporate practice of medicine rules.
  • Experience with hospital operations.
  • Experience representing public agencies or public health systems.

Responsibilities

  • Draft and negotiate physician services agreements, medical director agreements, call coverage agreements, employment and independent contractor agreements, vendor contracts, business associate agreements, and other operational health care contracts.
  • Draft and advise on provider acquisitions, affiliations, joint ventures, and related transaction documents.
  • Structure transactions to ensure compliance with the Stark Law, Anti-Kickback Statute, False Claims Act, and state analogs, as well as licensing and corporate practice of medicine requirements.
  • Advise clients on a broad spectrum of operational, compliance, and transactional health care matters.
