Requirements

  • A Juris Doctor (JD) degree from an accredited law school is required.
  • Admission to the state bar is essential.
  • Minimum of 10 years of experience in corporate law, with a focus on corporate governance and SEC compliance.
  • 5+ years of experience leading teams.
  • Knowledge of Property and Casualty Insurance.
  • Excellent analytical and problem-solving skills.
  • Strong written and verbal communication skills.
  • Meticulous attention to detail.
  • Ability to build and maintain strong relationships with board members, executives, shareholders, and other stakeholders.
  • Strong understanding of corporate governance principles.
  • In-depth knowledge of federal securities laws.

Responsibilities

  • Advise the company's board of directors and executives on best practices in corporate governance.
  • Oversee the preparation and filing of all SEC-required documents, including annual reports (10-K), quarterly reports (10-Q), and current reports (8-K).
  • Develop and implement policies and procedures to ensure compliance with corporate governance and securities regulations.
  • Provide legal advice to the board of directors on corporate governance issues, including board composition, director duties, and fiduciary responsibilities.
  • Manage shareholder communications and ensure compliance with securities laws regarding shareholder meetings, proxy statements, and other disclosures.
  • Identify potential legal risks related to corporate governance and SEC compliance.
  • Conduct training sessions for directors, executives, and employees on corporate governance and securities law compliance.
  • Provide legal support for mergers, acquisitions, and other corporate transactions.
