About The Position

The Goldenberg Group is seeking an organized, detail-oriented, and adaptable in-house attorney to join their legal team. This role involves providing legal guidance on real estate transactions, managing documentation, and collaborating with various internal teams to ensure compliance and effective legal support for the company's operations.

Requirements

  • J.D. and active Pennsylvania bar membership required.
  • 5+ years of transactional experience with real estate (e.g. commercial leasing, drafting construction contracts, development and zoning work, including public/private partnership agreements for urban redevelopment sites).
  • 5+ years of experience with commercial finance transactions (e.g. institutional lending including life insurance company loans and commercial mortgage-backed securities or conduit loans).
  • Experience with construction financing, commercial loan refinance, tax credits, public/private finance transactions, and general corporate and transactional work is beneficial.
  • Experience with retail real estate lease negotiations, purchase and sale agreements, loan documents, etc.

Responsibilities

  • Draft leases, purchase and sale agreements, letters of intent, deeds, etc. for residential and commercial real estate transactions.
  • Coordinate and direct the review, management and preparation of commercial leasing and acquisition documentation.
  • Review purchase and sale agreements, due diligence, monitor contingencies, survey and environmental reviews, closing documents and wire transfers.
  • Conduct closings and complete post-closing documentation and administration.
  • Review and monitor agreements with contractors and lenders, approval of conditions required prior to draw disbursement and payment.
  • Draft and review initial documentation, obtain approvals, modified documents as necessary and coordinated document execution.
  • Negotiate leases and amendments.
  • Review title policies and ALTA surveys for conformance.
  • Serve as a key member of the in-house legal department.
  • Support and provide sound legal guidance on large-value acquisitions, joint ventures, financings, restructurings, contracts.
  • Conduct legal research and analysis of specific legal questions/issues.
  • Provide advice on laws at federal and state levels.
  • Serve as a resource to, and collaborate with internal teams.
  • Strategically consult with and help effectively manage the organization's outside counsel, including fee negotiation, bill management and project oversight.
  • Work in partnership with the Development, Finance and Operations teams.
  • Work in partnership with Finance to manage income tax reporting and IRS forms.
  • Review documents submitted to the Company for legal risk and/or related contractual requirements.
  • Assist in protecting the Company's portfolio, including ensuring proper compliance in contractual obligations.
  • Other duties and projects, as assigned.
