JOB SUMMARY: Manage all legal and compliance issues for Monroe Group, Ltd., Steele Properties LLC, Steele Properties Holdings LLC, Community Housing Concepts Inc., and their affiliates (collectively, the “Companies”), including real estate and tax credit transactions, tax, corporate governance, service contracts, property management issues, and employee and tenant-related matters. Develop and recommend company policies and positions on legal issues. Exercise management responsibility over the legal affairs of the Companies, providing counsel to the President, senior management team and the Principals regarding the legal impact of organizational decisions and negotiations. Additionally, General Counsel will manage Monroe’s internal compliance team, providing oversight and support to the Director of Compliance for all aspects of Project-Based Section 8 and LIHTC compliance. ESSENTIAL FUNCTIONS: Manage all legal issues relating to the Company’s corporate and real estate transactions, including leading and managing outside counsel on all LIHTC closings, acquisitions, dispositions, and refinances. Protect the interests of the Companies by managing risk, liability, and financial exposure. Provide legal counsel on issues arising from actual or anticipated lawsuits. Anticipate and guard against legal risks facing the company. Conduct and coordinate research into a variety of legal issues. Draft, review, and edit reports, opinions, correspondence, articles, and other documents. Draft and administer complex vendor, client, and employment contracts. Investigate and evaluate the legal implications and impact of legal compliance issues, and recommend operational changes or alternative policies and procedures. Receive and investigate inquiries from the Companies and their executives on matters including, but not limited to, taxes, employment, contracts, insurance, risk management, licensing, and organization policy. Draft and negotiate binding contractual agreements between the Companies and third parties, as needed. Manage all litigation filed against the Companies, including coordination with and oversight of outside counsel and applicable insurance carriers. Serve as a resource to the President and Principals on the Companies’ legal structure and governance. Select, engage, and direct the activities of outside counsel retained to represent the Companies, including but not limited to, with respect to corporate and real estate transactions and with respect to litigation and potential litigation. Assist in the direction of work and provide coaching and mentoring for professional development where applicable. Maintain responsibility for pertinent budgetary and strategic planning matters within the assigned management areas in partnership with internal managers. Evaluate agency requirements and ensure compliance with procedures for development for all properties. Ensure the compliance team is current on all updates and changes in affordable housing programs and requirements. Partner with the Director of Compliance to build strong, collaborative relationships with Operations and cross-functional departments. Lead the development and implementation of policies and processes related to state and federal regulatory requirements, with a focus on preventing non-compliance, Fair Housing violations, and legal or fraudulent claims against the organization. Manage the insurance program for the Companies, including placement, review of coverage, selection of carriers, oversight of the insurance broker and handling of insurance claims.
