About The Position
Geode Capital Management, LLC ("GCM") is a global institutional asset manager providing core beta exposures across a range of equity and niche asset classes, including commodities and options, for registered funds, commingled pools and separately managed accounts. Geode currently manages over $1 trillion in AUM across the products it advises and sub-advises. The General Counsel will be responsible for overseeing all legal and regulatory matters for GCM and its affiliates (collectively "Geode"). GCM is registered as an investment adviser with the SEC and as a commodity pool operator ("CPO") and commodity trading adviser ("CTA") with the NFA/CFTC. GCM's affiliate, Geode Capital Management Trust Company, LLC ("GCMTC") is a non-depository trust company registered with the New Hampshire Banking Department (the "Banking Department"), which manages collective investment trusts ("CITs"). The General Counsel will be responsible for ensuring compliance with all laws and regulations applicable to GCM and GCMTC relating to these registrations. In addition, the General Counsel will provide corporate, securities, employment, investment management and regulatory legal advice throughout the business, as further described below. The position provides a unique opportunity to join the management team of a rapidly growing business, reporting directly to Geode's President and CEO. The General Counsel will lead a legal team and work in a collaborative manner with all other business teams in providing strategic direction and guidance with respect to legal matters, as well as assisting in the fulfillment of business goals.
