This role is ideal for candidates with strong experience or interest in executive compensation and employee benefits law , including equity plans and agreements, executive retention packages, retirement and welfare plans, and handling benefits and compensation arrangements in mergers and acquisitions. Position Summary As an Employee Benefits and Executive Compensation Associate , you will: Conduct comprehensive legal research and analysis to support corporate transactions and strategy. Draft precise, well-reasoned, and error-free legal documents , including agreements, contracts, memoranda, and correspondence. Assist with or manage complex cases and transactions from inception to completion, including mergers and acquisitions, plan design, and executive compensation arrangements. Build and maintain strong relationships with internal and external clients , providing timely advice and updates. Collaborate with colleagues to develop innovative solutions and strategies tailored to client needs. Participate in high-level legal activities, including negotiations, closings, and strategic planning. Ensure compliance with applicable employee benefits laws, ERISA regulations, and corporate governance standards . Proactively engage in professional development and contribute to a culture of growth and excellence.

Requirements

  • Excellent oral and written communication and strong legal research and analytical skills.
  • Attention to detail, problem-solving ability, and strong professional judgment.
  • Ability to work independently while contributing collaboratively to team projects.
  • Effective management, organizational, and time management skills.
  • Persuasive communication and conceptual thinking to provide strategic legal solutions.
  • Juris Doctor (JD) degree from an accredited law school .
  • Admitted to practice in the District of Columbia .
  • Minimum 4 years of relevant experience in employee benefits and executive compensation law

  • AmLaw 100 or similar high-profile firm experience preferred.

Responsibilities

  • Perform legal analysis of executive compensation and employee benefits matters.
  • Prepare and review documentation for equity plans, executive retention packages, retirement and welfare plans, and M&A transactions.
  • Provide guidance on regulatory compliance, risk mitigation, and corporate governance.
  • Mentor junior lawyers and contribute to a collaborative work environment.
  • Maintain meticulous records of work product, client communications, and regulatory filings.
