With over 200 employees, Priority Power has been a trusted industry leader for over 20 years and is continuing to grow and evolve to meet the changing energy landscape. www.prioritypower.com The Director, Structuring will serve as the organization’s expert in evaluating project economics, designing optimal commercial and financial structures, and guiding capital sourcing decisions. This position will report to the Chief Commercial Officer and work closely with Sales, the CFO, Finance, Development, Legal and Executive Leadership to ensure our projects are capital-efficient, competitively priced, and aligned with both customer needs and Priority Power’s long-term financial strategy. This role is designed to recognize and enhance existing contributions, establish clear ownership over modeling and structuring, and position Priority Power to scale more effectively through disciplined capital deployment and consistent, high-quality commercial frameworks.

Requirements

  • Bachelor’s degree required in Finance, Economics, Engineering, Business, or a related field
  • 10+ years of progressive experience in:
  • Power, energy, infrastructure, or project-finance–driven industries
  • Commercial structuring, project finance, or investment analysis roles
  • 5+ years directly structuring complex power or energy transactions, such as:
  • Power purchase agreements (PPAs)
  • Retail energy contracts
  • Distributed energy / DER / renewable projects
  • Capacity, ancillary services, or tolling structures
  • Demonstrated experience working cross-functionally with:
  • Sales and commercial teams
  • Finance / FP&A
  • Legal and Development
  • Executive leadership
  • Prior experience supporting or leading capital sourcing decisions, including:
  • Tax equity
  • Debt financing
  • Sponsor equity
  • Balance-sheet deployment decisions

Nice To Haves

  • MBA, MS Finance, or equivalent advanced degree strongly preferred
  • Private equity-backed company experience is preferred.

Responsibilities

  • Financial Modeling & Analysis
  • Build, own, and improve advanced financial models for infrastructure projects including solar, thermal generation, substations, microgrids, and hybrid systems.
  • Conduct scenario analysis, sensitivities, and risk-adjusted returns across varying contract structures, capital providers, and pricing mechanisms.
  • Prepare deal overview and approval PowerPoint presentations for Board of Directors.
  • Translate technical, operational, and commercial inputs into clear economic implications for internal teams and customers.
  • Support customer-facing proposals with accurate, compelling economics and deal structures.
  • Drive efficiency and standardization in modeling by leveraging AI tools, automation, and reusable frameworks.
  • Capital Sourcing & Deal Structuring
  • Identify, evaluate, and recommend optimal capital sources for each project or portfolio (equity, debt, tax equity, lease structures, project finance, private credit, etc.).
  • Lead structuring and negotiation preparation for IaaS, design-build-own-operate, availability-based, and other long-term commercial arrangements.
  • Develop standardized financial packages, assumptions, and capital frameworks to support scalable growth.
  • Engage directly with financial institutions, investors, and lenders alongside the CCO and CFO.
  • Commercial Strategy & Collaboration
  • Partner with Development, the CCO, and the CFO to shape deal strategy from early-stage development through financial close.
  • Provide structuring guidance during customer negotiations, RFP responses, and term sheet development.
  • Translate market dynamics (cost of capital, credit, regulatory incentives, technology changes) into actionable recommendations.
  • Ensure commercial commitments and financial outcomes are fully aligned.
  • Cross-Functional Leadership
  • Serve as the central coordinating point for modeling assumptions, financial standards, and capital-market intelligence.
  • Collaborate with Engineering and Execution teams to validate cost inputs, performance expectations, and operating assumptions.
  • Work closely with Executive Leadership to support portfolio analytics, capital planning, and strategic decision-making.
  • Drive consistency, transparency, and rigor across all structuring activities company wide.
  • Build and lead a future structuring team as business growth requires, ensuring the function scales efficiently and effectively.
