About The Position

The Senior Counsel, Securities will report to the Vice President & Chief Counsel, Governance, Sustainability and Assistant Corporate Secretary. The Senior Counsel, Securities has primary responsibilities for Mondelēz International's public company compliance and reporting, including managing and supporting all legal aspects of the Company's securities filings and ensuring compliance with securities laws and regulations.

Requirements

  • Juris Doctor with strong academic credentials from a nationally recognized law school.
  • Licensed to practice law in Illinois or eligible for admission upon hire.
  • 7 years + practicing U.S. Securities law.
  • Prior major law firm experience or relevant in-house legal or government agency experience is preferred.
  • Demonstrated expertise in all aspects of corporate and U.S. securities laws and related public company matters.
  • Strong analytical, decision-making, and problem-solving skills, with ability to quickly assess and advise on risk.
  • Strong communication skills and ability to interact with all organizational levels, including senior management.
  • Excellent organizational, project management, and technological skills to maintain complex records and systems.
  • Highest level of integrity and trust.
  • Resourcefulness, including relevant new technologies and systems.

Responsibilities

  • Advising on all legal aspects of securities law compliance and filings processes.
  • Assisting in the preparation and review of annual, quarterly, periodic, and special SEC reports; proxy statements; and other SEC and Nasdaq filings.
  • Advising regarding investor communications, including reviewing investor relations presentations and press releases, and Regulation FD and Regulation G training and compliance.
  • Advising on insider trading and Section 16 issues and preparing associated ownership filings for directors and executive officers; assisting in policy development and training.
  • Drafting corporate policies and public disclosures required by new legislation and regulations.
  • Developing strategies, policies, and procedures to ensure compliance.
  • Advising regarding director and employee stock compensation programs and plans, including managing compliance with locally applicable laws.
  • Assisting on board and committee related matters, annual meeting of shareholders, including best practices, drafting materials for consideration by board and committees.
  • Working with the Vice President & Chief Counsel, Governance, Sustainability and Assistant Corporate Secretary, advising on SEC regulations and disclosure obligations relating to financial and Environmental, Social, and Governance matters.
  • Working with the Senior Counsel, Corporate Governance & Compliance, on global corporate governance matters.
  • Providing legal support to the finance function, including treasury and tax; advising treasury on financing transactions, including structuring and documenting bond offerings and tenders, credit agreements, commercial paper programs, share repurchase programs, and other treasury-related matters.
  • Providing additional support on other matters and assuming other responsibilities, as assigned.
