About The Position

The Director, Legal will provide advice and support on a wide variety of U.S. legal matters within an international public company context. Based in-person in Denver and reporting to the Managing Director of Legal, this role sits within a seven-member Denver legal team and partners closely with the General Counsel, finance, treasury, HR, investor relations, and the CEO Office. The successful candidate will advise on U.S. and Bermuda governance, SEC reporting and Exchange Act matters, executive compensation, proxy statement preparation, litigation and disputes, compliance, treasury support, commercial contracting, and strategic corporate transactions including M&A. The role also provides support to the Board and its committees and supports the General Counsel on a broad range of functions and transactions.

Requirements

  • Juris Doctor degree from an ABA-accredited law school required.
  • U.S. legal qualification; admission to at least one State bar in good standing required.
  • Ideally 5–10+ years of relevant legal experience in corporate securities, with M&A and corporate governance experience a plus.
  • Major U.S. law firm or significant industry experience required; in-house legal experience preferred.
  • Broad business orientation and ambition, with great energy, drive, and motivation.
  • Ability to work collaboratively and thrive in areas of grey.
  • Highly developed writing, drafting, and presentation skills.
  • Poise and presentation skills in senior management and board environments.
  • Excellent persuasion skills and high EQ, with the confidence to influence and deal with senior managers.

Responsibilities

  • Provide analysis and counsel on all SEC reporting, U.S. equity offerings, financial and corporate structuring, accounting issues, and related matters.
  • Support the in-house corporate secretary on all matters related to public company SEC compliance and corporate governance.
  • Oversight on financial reporting, NASDAQ rules, Securities Act and Exchange Act regulations, compliance and internal audit, audit committee matters, earnings releases, bond reports, quarterly reporting, and securities offering materials, working with outside counsel and a team of internal lawyers.
  • Serve as key legal adviser on U.S. elements of Human Resources, Executive Compensation, and Benefits, including drafting the proxy statement and managing day-to-day issues of a large multinational public company.
  • Advise and support on a myriad of multinational legal issues and transactions, including financial offerings, financial structuring, share buybacks, spins, U.S. and U.K. corporate governance, compliance, and business strategic planning.
  • Support strategic corporate transactions, including mergers and acquisitions.
  • Keep abreast of relevant legal developments and current developments within the business and in the legal and regulatory environment, in order to provide the highest quality of legal and commercial support to the business.
  • Manage internal and external legal resources, including outside counsel and budget.
  • Partner with key stakeholders including the General Counsel, the Chief Accounting Officer and the Accounting department, the Chief People Officer and Human Resources, the SVP of Investor Relations and the financial reporting team, the Treasury and Tax departments, and the CEO Office.
