Job Summary As the Director, Equity Administration, you will own the Stock Plan Administration function for the company and manage the daily administration, reporting, audit, compliance, internal controls and audit process. You will partner cross functionally with the Payroll, Total Rewards, Accounting, Financial Planning & Analysis, and Legal teams to develop and deliver compliant and scalable administrative processes. In addition, this role will be accountable for building and managing executive, board of directors, and vendor relationships. Requirements

  • 7+ years of experience in global stock plan administration.
  • Understanding of US GAAP accounting and SEC regulations related to stock administration.
  • Broad experience with a range of equity compensation instruments and plans, including stock options, RSUs, PSUs and ESPPs.
  • Very strong attention to detail with the ability to perform self-audits to ensure integrity and utmost accuracy of data at all times. Self-motivated, reliable, flexible, and can drive progress under tight deadlines.
  • Exceptional analytical and conceptual thinking skills. Ability to think out-of-the box to develop solutions to complex problems. Proven history of building strong cross-functional relationships to achieve business results. Comfortable interacting with colleagues at all levels and communicating effectively and efficiently.
  • Ability to distill complex concepts into simple, easy to understand communications.
  • Ability to operate with discretion and confidentiality as well as exercise good judgment and integrity in day-to-day decisions.
  • Strong disposition toward empathy and create an environment where all participants feel supported.
  • Advanced Excel skills and CEP certification is preferred, along with knowledge of ETrade/MS, Fidelity, Carta or Shareworks.

Responsibilities

  • Own the administration of the company’s global equity compensation programs, including the accurate processing of all awards/grants, exercises, ESPP purchases, cancellations and releases in the US and in foreign jurisdictions.
  • Responsible for the preparation and timely filing of Section 16 reports (Forms 3, 4, 5) with the SEC; supporting the preparation of other SEC filings, proxy statements, and 10b5-1 trading plans. Assist with brokers on 10b5-1 plans.
  • Serve as the lead, evaluating and developing reports, for equity related requests from internal and external auditors.
  • Prepare company capitalization table summaries including shares authorized and outstanding.
  • Manage the company's Employee Stock Purchase Program (ESPP) include calculations, share utilization analysis, granting, and communication.
  • Review monthly, quarterly, and annual reconciliations of equity records ensuring accuracy and completeness.
  • Assist Finance, Legal, Total Rewards, and People teams in addressing or responding to equity compensation matters.
  • In partnership with the Total Rewards team, prepare equity summaries and presentations for quarterly board meetings. Manage the relationships with third equity program vendors ensuring the company is receiving optimal service and employee concerns are addressed timely.
  • Responsible for ensuring strong internal controls and SOX-compliance relating to equity administration.
  • Responsible for ensuring data feeds are set up and processing accurately between external equity platforms and internal payroll systems. Collaborate closely with the Payroll team to ensure proper withholding and reporting of tax associated with equity grants, exercises, and releases.
  • Provide a high- level of customer service in responding to inquiries from current and former employees, manage equity inbox and, develop proper documentation to enable employee self-service.
  • Collaborate cross-functionally to ensure legal and regulatory compliance in non-U.S. countries as applicable.
  • Maintain current knowledge of global rules and regulations governing equity compensation plans and ESPPs (ex. IRS, SEC, local securities and tax regulations)
