Job Description The Director, Corporate Development leads the execution of corporate development activities (including venture investing) of Rockwell Automation and its various business units. Your primary areas of focus and strength are in the following areas: mergers, acquisitions, divestitures, financial statements analysis, valuation, financial modeling, due diligence, and synergy identification activities. You will report to the Vice President, Strategy & Corporate Development and based in the Milwaukee, WI global headquarters.

Requirements

  • Bachelors degree or relevant equivalent experience
  • Legal authorization to work in the U.S. We will not sponsor individuals for employment visas, now or in the future, for this job opening.
  • Travel of 25% including international travel.
  • Typically requires 12 years experience in
  • Five to eight years of combined experience in Investment Banking, Private Equity, Venture Capital or Corporate Development
  • Experience with M&A and Venture Capital
  • Experience with business case development and financial analysis required to support business development opportunities
  • Experience with complex negotiations during transactions
  • Experience managing a diverse and multi-faceted team

Responsibilities

  • Lead valuation of potential M&A targets using traditional valuation methodologies such as Discounted Cash Flow (DCF), comparable public companies, and precedent M&A transactions
  • Execute venture investment activities with Rockwell Automation business, advanced technology and geographic leaders to achieve long-term profitable growth and insight into disruptive technology
  • Collaborate with the Business Units to prepare Executive and Board review materials for transaction approvals
  • Support Indication of Interest (IOI) and Letter of Interest (LOI) negotiations with potential sellers
  • Lead transaction execution and due diligence
  • Collaborate with Legal, Finance, Tax, HR, Business Unit, and other teams in negotiating critical deal terms with targets
  • Contribute to the transaction documents such as purchase agreements and working capital
  • Manage, coach, and mentor Corporate Development manager(s) and analyst(s)
  • Collaborate with the Integration leader in developing an integration plan, and compiling integration costs
  • Lead and support developing deal models, company profiles, evaluating/benchmarking of target companies/buyers, and other relevant financial analyses
  • Maintain target funnel lists for all business units within Rockwell Automation
  • Be Corporate Development's representative and key interface for special projects initiated and coordinated by Strategic Development (i.e., market/benchmarking studies, growth projects.)
