We are seeking a seasoned and strategic Director, Commercial Counsel to join our Legal team. In this high-impact role, you will lead commercial legal support across our go-to-market functions, including Sales, Alliances, Procurement, and Professional Services, and collaborate cross-functionally with Product, Finance, Security, and Compliance teams. You will provide legal guidance on complex commercial transactions and strategic initiatives, and help scale our legal operations to support global growth. This role reports to the Chief Legal Officer and offers visibility across executive leadership. Our team is small with each attorney bringing a can-do spirit to their legal practice. We are hands-on and do not shy away from managing projects end-to-end with cross-functional support. We strive to understand revenue generation and be reliable partners to our GTM function.   • Serving as lead counsel for complex commercial transactions, including enterprise SaaS and AI agreements, strategic partnerships, reseller and channel arrangements, and advise on high-value vendor engagements
  • Advising senior stakeholders on legal risks and business strategies related to commercial operations, product launches, and global expansion that align with business objectives
  • Developing and maintaining scalable contract templates, negotiation playbooks, and enablement resources for internal teams
  • Partnering with Procurement and Finance to optimize vendor contracting processes and ensure compliance with internal policies
  • Navigating global regulatory frameworks (e.g., data privacy, cybersecurity, AI governance) to support the GTM function and service delivery
  • Leading cross-functional initiatives to enhance contracting efficiency, risk mitigation, and operational excellence
  • From time-to-time contribute to broader legal department initiatives, including compliance, corporate governance, and M&A activity as needed
  • A Juris Doctor (J.D.) degree from an ABA-accredited law school
  • 9+ years of legal experience, including at least 5 years in-house at a high-growth SaaS or technology company
  • Active membership in good standing with a state bar, with a preference for California
  • Deep expertise in SaaS licensing, AI terms, cloud services, data integrations, and technology transactions
  • Strong sense of ownership and ability to navigate ambiguous environments with sound judgment
  • Strong understanding of global privacy laws (e.g., GDPR, CCPA), cybersecurity frameworks, and AI-related legal considerations
  • Proven ability to manage complex negotiations and provide actionable, business-friendly legal advice
  • Exceptional drafting, communication, and stakeholder management skills
  • Demonstrated leadership and ability to mentor junior counsel or legal staff
  • Strong leadership and team management skills, with a track record of inspiring and guiding others effectively
  • A practical, proactive, and business-focused approach to problem-solving, paired with sound decision-making and excellent judgment
  • Exceptional interpersonal skills, with the ability to cultivate meaningful and collaborative relationships with internal stakeholders across diverse geographical locations
