About The Position

The Director, Associate General Counsel, Corporate Governance and Securities at Spire will play a crucial role in the Legal team, serving as the Assistant Corporate Secretary and providing support to the Corporate Secretary. This position involves ensuring compliance with securities laws and corporate governance issues while interacting with the Board of Directors and key executives. The ideal candidate will have extensive experience in corporate and securities law, with a focus on corporate finance and governance matters.

Requirements

• Juris Doctor and active bar license in good standing in at least one state.
• 8 years of relevant experience in securities law or corporate governance, preferably with both law firm and in-house experience.
• Strong knowledge of SEC regulations and corporate governance principles.
• Proven track record of managing SEC filings and advising on complex securities matters.
• Experience with capital and credit markets and familiarity with financial statements.

Nice To Haves

• Interest in learning new areas of law such as ERISA and labor and employment.

Responsibilities

• Support the Company Secretary with the preparation of materials for the Board of Directors and Committee Meetings.
• Plan and implement the annual proxy statement process in coordination with Human Resources.
• Support the onboarding of new officers and directors, including Section 16 guidance.
• Plan and execute activities in compliance with NYSE governance and filing requirements.
