About The Position

webAI is seeking a Corporate Counsel to join our growing legal team and partner closely with our General Counsel to support the company’s strategic growth. This role will play a key part in managing corporate governance, supporting private financings, and overseeing equity management as the company prepares for its next phase of growth, including upcoming fundraising initiatives. The ideal candidate will bring strong experience in private company financings and venture-backed environments and will be comfortable operating in a fast-paced startup setting. This individual will work across multiple areas of the business, balancing high-impact strategic work with practical day-to-day legal support.

Requirements

  • J.D. from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 4+ years of corporate law experience.
  • Demonstrated experience structuring, drafting, and negotiating private company financing transactions.
  • Strong working knowledge of equity management platforms, particularly Carta.
  • Ability to operate effectively in a fast-paced, high-growth environment.
  • Strong communication and cross-functional collaboration skills.

Nice To Haves

  • Experience advising high-growth or venture-backed technology companies.
  • Experience with public company governance and compliance, including SEC reporting (10-Ks, 10-Qs, 8-Ks).
  • Exposure to IPO readiness initiatives.
  • Experience supporting M&A transactions.
  • Experience planning, drafting and negotiating commercial transactions
  • Experience advising in employment law and executive compensation

Responsibilities

  • Partner with the General Counsel and outside counsel to structure and negotiate private company financing transactions, including venture capital rounds, private equity investments, and debt facilities.
  • Assist in preparing the company for strategic growth initiatives, including potential mergers and acquisitions.
  • Support public company readiness efforts as applicable.
  • Oversee and manage the company’s capitalization table and equity incentive plans.
  • Maintain accurate equity records and support equity administration using Carta.
  • Assist the General Counsel in maintaining corporate governance records and documentation.
  • Draft board resolutions and support board of directors and shareholder meetings.
  • Maintain corporate records and ensure compliance with corporate governance requirements.
