About The Position

As a Counsel/Senior Counsel you'll contribute to a particular practice group within the Legal Department, and reports directly to the Practice Group Manager or Practice Group Director. You'll provide legal advice and counsel in practice-specific business transactions, supports Company business lines or internal support functions in implementing and administering policies and satisfying applicable legal requirements. Responsible for advising business lines regarding compliance with laws and regulations applicable to the assigned practice area(s). This includes legal updates to business leaders and compliance related to the applicable business lines. Provide legal support (diligence, drafting, negotiation) on practice-specific business transactions, in particular in the areas of mergers and acquisitions, corporate finance, SEC compliance, and board and subsidiary governance. Support business lines in following and implementing policies and satisfying applicable legal and regulatory requirements. Collaborate with compliance and risk partners to advise the Bank on laws and regulations. Partner with other Counsel members on business transactions, operational issues and projects. Perform legal research as assigned by Senior Counsel or Deputy General Counsel.

Requirements

  • 5+ years of related experience in Legal
  • Juris Doctor Degree required
  • Intermediate to advanced knowledge of general banking operations, including deposit operations, loan administration, treasury management and/or other commercial banking products and services
  • Intermediate to advanced knowledge of applicable regulatory and legal compliance obligations, rules and regulations, industry standards and practices
  • Intermediate to advanced Microsoft Office Suite skills
  • Expert speaking and writing communication skills
