Under general supervision, Counsel, Oliver Wyman Group (OWG) is responsible for providing general advice and support on a wide range of legal issues to the OWG businesses in the Americas. Responsibilities include drafting, reviewing, and negotiating a high volume of client and third-party agreements, including client services agreements, master services agreements, statements of work, confidentiality agreements, release letters, software development and licensing agreements, vendor agreements, data processing addenda, collaboration agreements and other legal documents. The ideal candidate will be able to identify liability exposures and provide practical and creative solutions to both manage risk and support growth. The ability to prioritize work and to work efficiently and independently is a must. This role will report to a Senior Assistant General Counsel or an Assistant General Counsel on the team. This role requires working from our Boston office at least three days a week. Negotiate and draft various types of legal documents including contracts, memos, subcontracts, vendor agreements and other legal documents. Analyze new and changing laws and regulations. Identify liability exposure and provide creative solutions to manage and reduce risk. Interact with outside counsel for OWG as well as outside counsel for adverse parties. Conduct negotiations with external third parties, elevating unresolved legal issues to other members of the legal department as appropriate. May provide business colleagues with practical advice and guidance and develop solutions to issues while managing business and legal considerations. Interpret and explain contract terms to internal business colleagues. Assist with responding to RFP proposals to prospective clients. Manage workflow effectively in a proactive and responsive fashion.
