About The Position

Evident Corporation is seeking an experienced and highly motivated Associate General Counsel to join our global legal team. This critical role will serve as trusted assistant to the Global General Counsel, acting as a primary legal advisor for our US operations while supporting global initiatives, with responsibility for a broad range of commercial, corporate, and compliance matters. Key areas include negotiation of complex commercial agreements, dispute management, compliance with global and local regulations (e.g., anti-bribery/FCPA, healthcare laws, antitrust, data privacy, trade compliance), and corporate governance. The successful candidate will bring strong cross-border transactional experience, and demonstrate the ability to balance commercial objectives with legal integrity in a fast-paced global life sciences environment.

Requirements

  • Juris Doctor (JD) from an accredited institution in the US; active bar admission in good standing.
  • Minimum of 10 years of legal practice, with significant in-house counsel experience at a global, highly regulated company or a leading international law firm.
  • Demonstrated expertise in commercial transactions, including drafting, negotiating, and managing a broad range of contracts (sales, distribution, supply, licensing, services, partnerships).
  • Demonstrated ability to provide legal guidance on compliance with cross-border regulations, including competition / antitrust, anti-bribery/FCPA, healthcare and life sciences compliance, data privacy, trade controls, and employment law.
  • Substantial experience advising senior executives and cross-functional business leaders on risk management, strategic projects, and dispute resolution.
  • Strong record of collaboration across geographies, especially in Japan, the United States, and Europe, with the ability to operate effectively in a multicultural, global business environment.
  • Excellent written and verbal communication skills.

Responsibilities

  • Provide strategic legal counsel on a wide range of commercial, corporate, and compliance matters, ensuring that business objectives are achieved while minimizing legal risk and preserving the company’s reputation.
  • Draft, review, and negotiate complex commercial agreements, including sales, distribution, supply, licensing, services, and strategic partnership contracts, supporting both domestic and international business operations.
  • Serve as the primary legal advisor to senior leadership in the US, while collaborating with global business, finance, HR, R&D, and operations teams to anticipate and resolve legal and regulatory issues across multiple jurisdictions.
  • Support dispute resolution and risk management, including advising on customer, supplier, and business partner disputes, product liability claims, regulatory inquiries, and other contentious matters.
  • Lead compliance initiatives in the US in partnership with Global Compliance, including implementation of global compliance policies related to competition/antitrust, anti-bribery/FCPA, healthcare and life sciences compliance, data privacy, trade controls, and labor/employment matters; delivery of employee training programs; and investigations of whistleblower and ethics complaints.
  • Provide corporate governance support by assisting the Global General Counsel with managing board / shareholder approvals and maintaining effective governance frameworks.
  • Assist with mergers and acquisitions, specifically due diligence, integration, drafting ancillary agreements, etc.
  • Oversee contract management processes by administering approval workflows under the Delegation of Authority (DOA), maintaining the contract management system, and driving process improvements.
  • Act as a trusted business partner by balancing legal risk with commercial objectives, enabling growth while ensuring compliance and protecting the company’s long-term interests.
  • Contribute to global legal team initiatives, helping harmonize internal policies, procedures, and best practices across jurisdiction, while ensuring seamless alignment with corporate strategy.
