The Legal Counsel will play a critical role in supporting Ultimo's post-acquisition legal integration and strategic initiatives related to newly acquired SaaS entities, supporting the General Counsel in guiding commercial deals, mitigating risk, and ensuring compliance. This position requires commercial acumen, a collaborative mindset and a solid legal grounding in SaaS technology transactions and corporate governance, with specific expertise in the healthcare sector and/or HIPAA compliance.   • Provide hands-on legal advice and guidance for all commercial transactions and RFIs.
  • Lead and support legal aspects of post-acquisition integration for SaaS companies.
  • Structure, draft, and negotiate a wide range of commercial agreements, including customer, vendor, partner and reseller agreements.
  • Guide business stakeholders through risk assessment and decision-making related to acquired entity operations in the U.S.
  • Enhance contract negotiation workflows.
  • Be a trusted advisor to the Sales team, providing timely, strategic and business focused advice.
  • Support strategic projects on a range of topics.
  • Provide legal input for special initiatives involving AI and emerging technologies, particularly as applied within U.S. markets.
  • Collaborate with Product, Engineering, Finance, HR, and Marketing to provide legal counsel on one-off legal matters or new operational processes.
  • Assist with creation of playbooks for Sales and approval processes.
  • Assist with corporate secretarial tasks, including preparation of board resolutions and support for U.S. entity management.
  • Monitor evolving U.S. legal and regulatory developments, including data privacy, employment law, AI regulations, and healthcare-related compliance frameworks such as HIPAA.
  • Contribute to business intelligence systems such as Ombud.
  • Act as legal point of contact for U.S.-based teams.
  • Support Marketing, Finance and other functions to align with business goals.
  • Contribute to the development and rollout of legal templates, training, and process improvements to enable scalable legal support.
  • Help drive the use of legal operations tools and systems, including contract lifecycle management and legal AI platforms.
  • 6 - 10 years in commercial legal roles, particularly in high-growth software/SaaS/ tech companies, balancing legal risk with commercial objectives.
  • A collaborative mindset and excellent commercial judgment.
  • Proven track record in handling complex commercial contracts and advising on U.S. regulatory and corporate matters.
  • Hands-on experience advising SaaS businesses operating in the US healthcare sector, including strong working knowledge of HIPAA, data privacy, and security requirements.
  • Practical understanding of legal issues related to SaaS business models, AI technology, and data protection.
  • Excellent interpersonal and communication skills with the ability to work cross-functionally and influence with diplomacy.
  • Prior experience working on M&A integrations or supporting post-close transition work is highly desirable.
  • Strong business judgment and ability to think creatively to resolve legal and operational challenges.
  • Active prioritisation of competing business needs.
  • Strong understanding of commercial dynamics and sophisticated negotiation skills.
  • Advanced interpersonal skills with a strong ability to influence and build relationships.
  • Demonstrates the highest degree of ethics and integrity.
  • Comfortable working in a fast-paced, high-growth and evolving environment.
  • International legal experience is a plus.
  • Degree in the following field: J.D. from an accredited U.S. law school; active bar membership in at least one U.S. jurisdiction.
  • Additional courses in relevant areas such as data protection, HIPAA, AI, intellectual property, corporate law, employment.
  • Salary Range: $140,000 to $175,000 plus 10% bonus
