About The Position

The Corporate Governance Professional/Senior Paralegal provides services in support of legal counsel and participates in the implementation of improvement opportunities to contribute to the effective and efficient operations of the business. This role involves building productive relationships with legal counsel, Board and Committee members, and staff, delivering exceptional administrative service through responsive, accurate, and knowledgeable support. Responsibilities include acting as Secretary or Assistant for various BMO Financial Group subsidiaries and affiliates, preparing meeting agendas, disseminating meeting materials via email and online board portal, and drafting minutes for operating companies, including regulated entities. The position also involves coordinating BFG materials for Board and committee meetings, handling director payments, monitoring attendance, and managing time-sensitive redactions of board and committee meeting materials and minutes. Additionally, the role encompasses managing regulatory compliance and risk programs, maintaining databases, preparing certificates for signing authority, handling state corporate filings, and supporting various corporate governance and paralegal tasks.

Requirements

  • 7-15 years experience and a Paralegal Certificate or equivalent training on the job.
  • Bachelor's degree and large law firm or in-house experience preferred.
  • Excellent interpersonal and communication skills.
  • Superior organizational skills and strong writing abilities.
  • Knowledge of the business and regulatory environment.
  • Transactional experience an asset.
  • Deep knowledge and technical proficiency gained through extensive education and business experience.

Responsibilities

  • Act as Secretary or Assistant for various BMO Financial Group subsidiaries and affiliates.
  • Prepare meeting agendas and disseminate meeting materials via email and online board portal.
  • Draft minutes for operating companies, including regulated entities.
  • Coordinate BFG materials for Board and committee meetings.
  • Handle director payments and monitor attendance.
  • Independently manage time-sensitive redactions of board and committee meeting materials.
  • Responsible for annual FRY-6 filings and other bank regulatory filings.
  • Manage regulatory compliance and risk program for the U.S. team.
  • Maintain and update database of information on identified subsidiaries and affiliates.
  • Prepare incumbency and other certificates for signing authority of officers.
  • Catalog and store corporate records.
  • Handle state corporate filings for BMO Financial Corp.'s U.S. subsidiaries.
  • Work independently on special projects relating to legal, corporate governance, and corporate secretarial matters.
  • Plan, attend, and execute allocated Board and Board Committee meetings.
  • Prepare correspondence, reports, and other documents as required.
  • Develop and maintain filing systems.
  • Certify completion of compliance procedures and legal documents.
  • Coordinate internal funding transactions.
  • Provide insider reporting information and monitor stock options.
  • Support the management of projects and transactions.
