As a key member of the Corporate Legal team within the highly-regarded Legal, Ethics, & Compliance department, you’ll handle a variety of legal and governance matters, working with senior attorneys and corporate governance professionals to support public company compliance and governance excellence through a variety of responsibilities related to our quarterly Board of Directors meetings and earnings cycle, including preparation of Board resolutions and materials, and other general corporate legal and governance matters, as needed. You will support senior attorneys in connection with securities matters, including Booz Allen’s annual and quarterly securities filings, proxy statement and other securities filings, and securities offerings, as needed. In this role, you’ll grow your knowledge and skills by working in close partnership with team members located mostly in the area and teams across Booz Allen, including Accounting, Finance, Treasury, and People Services, to successfully navigate legal and governance issues. Requirements

  • 3+ years of experience working in a law firm advising clients in connection with corporate governance, public company compliance, and securities matters
  • Experience drafting contracts, formation documents, and resolutions
  • Ability to operate successfully in a role where work is completed in partnership with experts from across our department and the company
  • Ability to draft briefings that deliver data-driven findings and recommendations that reflect industry research, an awareness of an organization’s business and culture, and attention to risk management
  • Ability to work in a collaborative environment, execute day-to-day activities autonomously, and apply superior judgment in issue spotting and escalation
  • Ability to manage shifts in project priorities, requirements, and resources with a positive attitude, flexibility, and focus on solutions
  • J.D. degree
  • U.S. citizenship is required
