About The Position

Corporate Counsel will serve as the primary legal advisor for the organization, providing counsel on a broad range of legal, regulatory, and corporate governance matters. This individual will oversee legal operations for North America, manage global governance duties, and ensure compliance with applicable laws and internal policies. This role is both strategic and hands-on, requiring strong business acumen, sound judgment, and the ability to balance legal risk with business objectives.

Requirements

  • Juris Doctor (J.D.) degree and active license to practice law in relevant U.S. jurisdiction(s).
  • Member in good standing with a U.S. state bar (Colorado preferred, or eligible for in-house counsel registration).
  • Minimum of 8–10 years of progressive legal experience, including at least 3 years in an in-house counsel or corporate legal leadership role.
  • Strong background in contract law, governance, compliance, and commercial transactions.
  • Proven ability to balance strategic advice with hands-on legal execution.
  • Strong business acumen, including financial understanding (budgets, cost management, legal spend).
  • Excellent interpersonal, leadership, and communication skills; ability to interact with board members, senior executives, and cross-functional teams.
  • Proactive, strategic thinker with good judgment under pressure.
  • Exceptional analytical, and negotiation skills.
  • Business-oriented mindset with strong problem-solving ability.
  • High integrity and professionalism with the ability to manage sensitive information.
  • Strong organizational and project management skills, with the ability to manage multiple priorities in a fast-paced environment.

Nice To Haves

  • Experience working in or advising small to mid-sized, global or multi-entity organizations preferred.
  • Experience in Travel industry preferred.
  • Knowledge of privacy, GDPR, and data protection laws highly desirable.

Responsibilities

  • Serve as the company’s primary legal contact for North America, providing guidance on corporate, commercial, and employment-related legal issues.
  • Select and coordinate with external legal counsel on specialized matters such as litigation, intellectual property, and international law.
  • Oversee and manage all aspects of corporate governance, including preparation and support for board and committee meetings, maintaining minutes, and ensuring compliance with governance requirements.
  • Draft, review, and negotiate a wide variety of commercial agreements, including vendor, customer, and partner contracts.
  • Support CISO on data privacy and protection matters, including GDPR or other applicable standards.
  • Develop and implement internal legal processes, templates, and policies to improve efficiency and reduce risk exposure.
  • Partner closely with HR, Finance, and IT to ensure compliance with corporate policies and regulatory requirements.
  • Establish and own contract management process and provide training and guidance to internal teams on contract management, compliance, and legal best practices.
  • Establish and manage budget for all legal-related expenses, including negotiating fees with external counsel and legal settlements.
  • Partner with global team on legal, compliance and governance matters.
