About The Position

This position is located within the larger DC Metro area and will require a hybrid work schedule from ICF Headquarters in Reston, Virginia. Remote can be considered. About the Role ICF’s Office of General Counsel (OGC) is hiring a Corporate Counsel to support ICF’s business group focused on servicing external commercial, state & local government, and regulated clients in the areas of energy, environment, infrastructure, and engineering. The selected candidate will work directly with corporate and operational business partners to provide practical, business-oriented legal advice in connection with the company’s complex client engagements, intellectual property and technology matters, and risk management—partnering closely with business leaders to enable growth while protecting the company through risk mitigation. You will work in ICF’s Office of General Counsel with an elite team of collaborative, supportive, and innovative attorneys while having the satisfaction that your legal advice supports ICF’s fulfilling work to create a more prosperous and resilient world.

Requirements

  • A Juris Doctor from an accredited law school; and admitted to practice law in at least one U.S. jurisdiction in the jurisdiction where the successful applicant will work.
  • 4+ years of relevant experience (in‑house counsel experience preferred).
  • Subject matter expertise in at least one of the substantive areas of the role’s major duties and responsibilities
  • Demonstrated strength in substantive legal and issue analysis, and clear written/oral communication tailored to diverse audiences.

Responsibilities

  • Work directly with corporate and business partners to advise and develop pragmatic legal and business solutions for the company’s programs, service offerings, and procurements relating to the company’s external commercial, energy company, and state & local government clients.
  • Advise on consulting, technology, energy/climate, or data/analytics offerings.
  • Advise on government-funded or grant‑funded program requirements and provide creative solutions to address the impact on contract terms and program delivery.
  • Build strong relationships with business leaders; translate legal considerations into actionable guidance and clear decision paths.
  • Counsel internal teams on bid/solution shaping, procurement, and compliance requirements for state and local engagements and commercial clients in regulated industries; coordinate with colleagues supporting public sector work when issues intersect.
  • Support dispute resolution strategy (issue spotting, rights preservation, pre‑litigation positioning) and lead or partner with internal or external litigation counsel as appropriate.
  • Review, drafting, and negotiation of client-related engagements, contracts, subcontracts, teaming arrangements, non-disclosure agreements, and well as other business arrangements, in support of ICF’s commercial clients state and local government clients with a focus on balanced risk and operational feasibility.
  • Maintain relationships with Contracts teams to improve contract templates, internal policies and procedures
  • Contribute to templates, standards, and enablement materials that scale legal support across the enterprise.
  • Advise on IP and technology topics (trade secrets, trademarks/brand protection, software licensing and open-source compliance), including playbooks and training for stakeholders.
  • Provide high-level employment law advice to ICF’s internal Talent Human Resources team, in coordination with outside employment counsel, as appropriate.
  • Advise Talent Acquisition, Finance, Safety & Health, and other corporate teams
  • Partner with other members of the legal team to support assigned business group compliance with regulatory requirements, privacy laws (PHI/PI), and data security; and support compliance efforts impacting the including audits, investigations, and policy development.
  • Advise company and business on risks and mitigation associated with cross-border work.
  • Supporting merger and acquisition transactions, with outside counsel, and integration activities.
