About The Position
The Corporate Counsel position at Iowa Cannabis Company is a pivotal role that ensures compliance with state and federal regulations within the rapidly evolving legal landscape of the cannabis industry. This position requires a foundational understanding of legal frameworks, strong communication skills, and a proactive mindset to navigate the complexities of the legal environment effectively. In this role, the Corporate Counsel will advise the company on state and federal business laws and regulations, ensuring compliance across all operations. Responsibilities include drafting, reviewing, and negotiating business contracts and agreements, providing counsel on mergers and acquisitions, and assisting in corporate structuring and management. The position also involves providing legal guidance on zoning regulations and land use planning, representing the company in zoning hearings, and drafting land use agreements to facilitate business operations. The Corporate Counsel will manage relationships with external counsel, ensuring their work aligns with the company's goals and legal strategies. This includes coordinating the engagement of external counsel for specialized legal matters and integrating their advice into the company's broader legal framework. Additionally, the role involves monitoring proposed legislation and regulatory changes, advocating for the company's interests, and advising on employment laws and labor relations. The Corporate Counsel will also provide legal advice on real estate transactions, conduct due diligence, and draft and negotiate real estate contracts. Risk management and regulatory compliance are critical aspects of the role, requiring the development and implementation of strategies to ensure adherence to applicable regulations. The position also entails managing litigation related to business operations and providing ongoing legal advice and training to the company's management and departments.
