Alta Resources is seeking a Corporate Counsel who will be responsible for managing all legal affairs of the company. This position is crucial in ensuring that the company adheres to legal standards and regulations while safeguarding its reputation. The Corporate Counsel will report directly to the CFO and will oversee all legal aspects of the business, providing legal advice to management on various issues. This role is viewed as an enabler of the business, ensuring legal compliance while aligning with Alta's Guiding Principles. The Corporate Counsel will manage the legal budget and P&L, including oversight of outside legal counsel. They will be responsible for corporate governance across all corporate entities and will provide accurate and timely counsel to executives on a variety of legal topics, including contract drafting and negotiations, labor law, partnerships, international ventures, and corporate finance. The role requires collaboration with management to devise efficient defense strategies and to research and evaluate different risk factors associated with business decisions and operations. In addition, the Corporate Counsel will apply effective risk management techniques and offer proactive advice on potential legal issues. They will communicate and negotiate with external parties, such as regulators and public authorities, to build relationships of trust. Drafting and solidifying agreements, contracts, and other legal documents will be a key responsibility to ensure the company's legal rights are fully protected. The Corporate Counsel will also deal with complex matters involving multiple stakeholders and provide clarification on legal language to the organization. Maintaining current knowledge of changes in legislation is essential, as is participation in litigation of insured and uninsured matters. The Corporate Counsel will develop, initiate, maintain, and revise appropriate policies and procedures, manage the intellectual property portfolio, and ensure regulatory compliance under global data privacy laws. They will support Human Resources with labor and employment law advisement and participate in the development and monitoring of client contracts to address compliance and privacy concerns. Regular attendance and adherence to the agreed-upon schedule are essential functions of this position.
