About The Position

nCino offers exciting career opportunities for individuals who want to join the worldwide leader in cloud banking. We are seeking an experienced attorney interested in supporting commercial transactions to join our growing legal team in Wilmington, NC.

Requirements

  • Juris Doctor (J.D.) degree from an ABA accredited law school and be a member in good standing.
  • 2+ years of relevant experience in a law firm and/or in-house legal department, with a firm understanding of contract law.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Positive attitude, adaptability to change, and willingness to re-prioritize matters on short notice.
  • Strong interpersonal and communication skills to effectively collaborate with various stakeholders and at all levels of the organization.
  • Strong time management and organizational skills, with the ability to manage multiple projects and responsibilities concurrently.
  • Ability to work autonomously and collaboratively as part of a team in a fast-paced environment.

  • Enthusiasm for technology with an interest in the nCino platform and products, and a willingness to understand the technology behind our offerings.
  • Demonstrated experience in negotiating and drafting contracts and agreements.
  • Familiarity with the financial services industry, Salesforce, SaaS, intellectual property, and data privacy laws and regulations.
  • Familiarity with SAAS industry-specific legal challenges and best practices.

Responsibilities

  • Represent nCino in drafting, negotiating, and interpreting commercial contracts including master agreements for subscription services, amendments to customer contracts, professional services statements of work and change orders, data protection agreements, and nondisclosure agreements.
  • Work with other legal team members and sales, accounting, and sales operations teams on deal structures and terms.
  • Work with lead commercial attorney on a variety of projects including playbook drafting, integration of acquired companies, and template updates.
  • Work with subject matter experts, including with regard to security, data privacy, intellectual property, product, and marketing teams as needed for contract negotiation.
  • Draft, review, and negotiate other contracts, including vendor contracts and partnership agreements.
  • Ensure contracts are in line with company policies and comply with applicable laws and regulations.
  • Support internal team and corporate projects and work groups, providing the legal point of view to advance priorities.
  • Identify potential legal risks in partnership with team and recommend appropriate strategies to mitigate them.
