Get to Know Fruitist 🎧 Help build and contribute to Fruitist’s legal and governance foundation. You’ll own core securities and governance workstreams—Board and committee support, entity governance, securities compliance, and disclosure processes—partnering closely with the General Counsel, CFO, Finance, and executive leadership. This is a high-trust role for a sharp operator who can run complex matters independently, move fast without breaking things, and translate legal requirements into practical business outcomes.

Requirements

  • Legal background: JD and active bar membership (or eligible for in-house registration as applicable).
  • Experience: 5–8+ years in corporate/securities practice at a top law firm and/or in-house; public company and/or IPO readiness experience strongly preferred.
  • Governance depth: Demonstrated Board and committee support experience; confident drafting minutes, resolutions, and governance materials.
  • Securities fluency: Working knowledge of SEC reporting concepts, disclosure controls, equity matters, and corporate governance best practices.
  • Operator mindset: Self-driven, excellent judgment, strong prioritization, and ability to thrive under tight deadlines.
  • Communication: Clear, practical counsel with strong executive presence and cross-functional influence.

Responsibilities

  • Advise on U.S. securities laws and disclosure obligations (policies, controls, and process discipline).
  • Draft and review securities-related materials and disclosures, including equity plan documentation, investor materials, and governance sections as needed.
  • Monitor regulatory developments and recommend updates to processes, policies, and training.
  • Support the Corporate Secretary function: prepare Board and committee materials, agendas, minutes, resolutions, and governance calendars.
  • Maintain and improve governance policies and committee charters; support annual meeting processes and governance best practices.
  • Manage processes for related party transactions.
  • Partner with leadership to manage sensitive governance issues with sound judgment and confidentiality.
  • Provide corporate and securities support for equity financings.
  • Partner with Finance, Accounting, HR, and People Ops on equity, comp disclosures, and policy rollouts.
  • Manage outside counsel with clear scopes, budgets, and high-quality outputs.
  • Provide legal advice on a broad range of corporate matters affecting company operations.
  • Draft, review, and negotiate commercial agreements including supply agreements and other business contracts.
