Requirements

  • Juris Doctor degree from an ABA accredited law school.
  • 8+ years of related experience for Corporate Counsel 1.
  • 10+ years of related experience for Corporate Counsel 2.
  • M&A experience, including cross-border transactions.
  • Basic familiarity with antitrust matters.
  • International law experience.

  • Experience advising government contractors or other regulated businesses.
  • Aerospace and defense experience.

Responsibilities

  • Provide business-oriented legal advice relating to Northrop Grumman’s domestic and international transactions to achieve enterprise-wide goals in challenging markets.
  • Lead investments and smaller M&A transactions; support larger M&A transactions.
  • Support negotiation of strategic collaborations with international partners, including joint ventures, teaming agreements, strategic alliances and other bilateral and multilateral arrangements.
  • Advise company with respect to U.S. and foreign antitrust/competition law compliance, including HSR filings, exclusive arrangements and government inquiries relating to industry transactions under review.
  • Advise Corporate Global Business Development function with respect to a broad range of issues including MOUs, NDAs, international consultant agreements, anti-corruption compliance and compliance training.
  • Provide legal support to in-country teams where Northrop Grumman has offices in Europe, Asia and the Middle East with respect to a wide range of regulatory and compliance issues.
  • Assist in negotiation of DCS transactions with foreign customers and suppliers.
  • Provide support to all business sectors engaged in international pursuits and programs and liaise with functional experts.
  • Help advise company with respect to industrial participation (offset) activities and transactions.
