As Corporate Counsel, Corporate Governance & M&A, you will play a central role in how Omnissa manages its legal entity structure, executes strategic transactions, and supports executive-level corporate governance. You will work directly with senior leadership, the finance team, and cross-functional stakeholders to support board and committee operations, oversee global subsidiary governance, and help execute M&A and other strategic corporate initiatives. This is a high-impact role for someone who thrives in complex, fast-moving environments and wants to help shape the corporate foundation of a global technology company. Over time, this role will also provide leadership and oversight for key corporate governance support functions, creating an opportunity to take on people-management responsibilities alongside continued hands-on legal work. This role reports to our Senior Director and Deputy General Counsel. The Omnissa Legal Team values curiosity, exploration, and continuous learning. Requirements

  • At least 7 years of corporate legal experience, including at least 4 years of in‑house experience at a technology company or equivalent senior‑level corporate and transactional experience.
  • Strong experience in corporate governance and M&A, including end‑to‑end transaction support and corporate governance responsibilities.
  • Experience managing a large portfolio of international subsidiaries, including governance, compliance, and ongoing legal entity maintenance across multiple jurisdictions.
  • Experience supporting international expansion, including entity formation and governance setup in new countries.
  • Working familiarity with corporate tax structures and operating models commonly used in multinational companies, such as buy‑sell and cost‑plus arrangements, and the ability to partner effectively with Tax and Finance teams on entity‑level considerations.
  • Ability to operate autonomously on sophisticated matters and exercise sound judgment in fast‑moving, high‑stakes situations.
  • Excellent drafting, organizational, and communication skills, with strong attention to detail.
  • Practical, solutions‑oriented mindset with the ability to balance legal risk and business objectives.
  • Strong organizational and project‑management skills, with the ability to manage multiple concurrent workstreams.
  • Effective collaborator who builds trust and credibility with cross‑functional partners at all levels of the organization.

Nice To Haves

  • Prior experience managing or mentoring legal professionals, including paralegals or corporate secretarial team members, or interest in growing into a people‑management role.
  • Experience supporting private‑equity‑backed or high‑growth technology companies with complex global entity structures.
  • Experience using AI tools in your daily legal work or helping design AI‑enabled workflows to streamline legal processes.
  • Experience supporting cross‑border transactions and multi-jurisdiction governance requirements.
  • Familiarity with equity administration, cap table management, or executive compensation matters.

Responsibilities

  • Own and manage the full range of corporate governance activities, including board and committee materials, minutes, resolutions, written consents, corporate policies, and governance best practices across the organization.
  • Serve as a director, officer, or legal representative for multiple international subsidiaries, and support governance obligations across Omnissa’s global entity portfolio.
  • Own legal entity governance for Omnissa’s global subsidiary structure, partnering closely with Finance, Tax, and other stakeholders on subsidiary maintenance, intercompany structuring, and expansion into new countries.
  • Support strategic transactions, including mergers and acquisitions, restructurings, strategic investments, and other corporate initiatives. Responsibilities include transaction‑related diligence, drafting, issue spotting, and cross‑functional coordination.
  • Own and manage third‑party corporate diligence and information requests, including KYC, AML, and UBO inquiries, and build scalable processes and self‑help materials to streamline these workflows.
  • Lead the design, documentation, and continuous improvement of corporate governance processes, tools, and templates to ensure consistency, efficiency, and scalability across the business.
  • Support executive leadership with special projects related to governance modernization, entity simplification, compliance readiness, and corporate risk management.
  • Contribute to legal team operational improvements, including thoughtful adoption of technology and automation to enhance accuracy and efficiency.
