These team members keep the business running, manage payroll and benefits offerings, ensure deliverables are high quality, hire and train employees, market our services, streamline business processes, and much more. Corporate Operations departments include Administrative Services, Business Development, Document Production Center, Finance, Human Resources, IT, and Marketing. Your Opportunity with ECG: Contracts and Compliance Paralegal The Contracts Paralegal will assist ECG’s Contracts and Compliance Counsel to manage the full lifecycle of client and vendor agreements. This role will help facilitate contract intake, drafting, and reviewing; participate in policy review, compliance auditing and monitoring; and will oversee the contract lifecycle management tool. The paralegal will collaborate with project officers to ensure subcontractor and vendor agreements reflect business objectives while complying with industry regulations (e.g., HIPAA) and internal policies.

Requirements

  • Bachelor’s degree, with ABA-approved paralegal certification, or equivalent of 7+ years of experience required; contract‑management certification strongly preferred
  • At least 5 years of experience in contract management or paralegal roles, preferably within a consulting, healthcare, or professional services environment; experience administering a CLM platform (e.g., Cobblestone, Conga, Agiloft, IronClad) and drafting and negotiating service or consulting agreements is essential
  • Proficiency with contract‑management software and electronic signature tools (e.g., Docusign), Microsoft Office suite, and collaboration platforms (e.g., SharePoint, Teams); familiarity with current data privacy rules and regulations, HIPAA requirements
  • Excellent written and verbal communication skills; ability to build relationships with diverse stakeholders; strong attention to detail and organizational skills; ability to multitask, prioritize and meet multiple deadlines in a fast‑paced consulting environment

Responsibilities

  • Contract Lifecycle Management (CLM) Administration
  • Serving as the subject matter expert and administrator for the CLM platform: overseeing contract intake (ensuring executed agreements are entered into the system with accurate metadata to facilitate tracking renewal and termination dates and other key contract data); developing training materials and create customized reports to maximize utility of the tool within the firm; managing user access, roles and permissions, automating workflows and metadata fields; ensuring CLM data accuracy; and producing periodic reports for leadership
  • Coordinating the process of selecting and implementing an AI tool for metadata capture: this role provides the unique hands-on opportunity to oversee the selection and implementation of an AI tool for use with the CLM platform. Collaborating with the Contracts and Compliance Counsel to issue an RFI, reviewing and vetting responses, selecting a vendor, and taking lead on the implementation and administration of an AI tool, ensuring the firm optimizes the utility of the CLM platform and the improvements made available through the AI tool to capture metadata and improve contract workflows across ECG teams
  • Drafting and Reviewing Contracts
  • Assisting the Contracts and Compliance Counsel to draft and review a wide range of agreements (including master service agreements, client agreements, subscription agreements, subcontractor agreements, statements of work, non‑disclosure agreements, vendor contracts, data privacy agreements, and business‑associate agreements); assisting consulting teams to tailor contract language to project scopes, pricing models, and deliverables
  • Compliance and Risk Management
  • Ensuring contract provisions conform to applicable laws, regulations and industry standards (HIPAA, CCPA, etc.); tracking and supporting compliance with contractual obligations, data privacy and security requirements, and internal auditing requirements; coordinating with the Contracts and Compliance Counsel to identify and mitigate risks
  • Assisting with compliance training, and policy and procedure development and maintenance; conducting compliance tracking, monitoring, and auditing activities
  • Cross‑Functional Collaboration
  • Partnering with consulting teams and corporate operations to understand business requirements and ensure alignment between contract language and project needs (including implementation of a new CLM); serving as liaison between legal counsel and business units, promptly addressing questions and guiding stakeholders through contract processes
  • Training and Continuous Improvement
  • Assisting with maintaining the contract template library, checklists, and guidance documents; training consultants and project managers on contract policies, approval workflows, and use of the contract‑management system; identifying opportunities to streamline workflows, improve system adoption, and enhance reporting capabilities
