About The Position

As Corporate & Commercial Counsel at Impulse, you will partner closely with our finance and executive teams on all corporate and securities law matters, including board and corporate governance, corporate transactions, and equity administration. Reporting to the VP for Regulatory & Government Affairs, you will also partner closely with our Associate General Counsel, supply chain and business teams to build and strengthen relationships with our vendors and business partners, including advising on sourcing strategies, negotiating contracts, and managing disputes. NOTE: This position requires being on-site at our Redondo Beach facility in Los Angeles

Requirements

J.D. from an accredited legal program and member of the California bar in good standing
4+ years of total experience supporting corporate and commercial transactions

Nice To Haves

4+ years of demonstrated experience in aerospace, hardware, or manufacturing industries
4+ years of demonstrated experience with employment and/or employee relations matters
4+ years of demonstrated experience with accounting matters
In-house experience, especially in a startup environment

Responsibilities

Handle all corporate and securities law matters, including corporate governance issues, entity management, and compliance with securities laws and regulations
Serve as lead in-house corporate counsel, including managing outside counsel, on all corporate transactions, including secondary and primary financing transactions and M&A
Oversee equity plan administration, including capitalization table management
Support, as needed, Impulse supply chain and business teams to manage the full life cycle of our vendor contracts
Advise business stakeholders on legal and commercial risks associated with all phases of our vendor relationships, from sourcing to wind down, in collaboration with IP, regulatory, finance, logistics, and other business teams
