About The Position

The Seattle office of Seyfarth Shaw LLP seeks a Corporate Attorney with 5–10 years of experience to support its rapidly growing Corporate practice. The role will primarily focus on general corporate and transactional matters, with opportunities to work across M&A, financing, corporate governance, commercial contracts, and entity counseling. The new hire will be a key contributor to a busy, expanding group with significant opportunities for responsibility and career development.

Requirements

  • 5–10 years of corporate and transactional experience at an AmLaw firm or sophisticated boutique.
  • Demonstrated experience managing significant portions of M&A transactions and/or financing matters.
  • Strong drafting, analytical, and project‑management skills.
  • Ability to work both independently and collaboratively in a high‑volume practice.
  • Excellent communication skills with the ability to interface directly with clients.
  • Washington State Bar admission (or ability to waive in).

Nice To Haves

  • Experience with real estate‑related corporate or financing transactions is helpful but not required.
  • Familiarity with tax‑exempt organizations or nonprofit governance is a plus.
  • Demonstrated capacity to manage multiple deadlines in a fast‑paced environment.

Responsibilities

  • Lead and support M&A transactions, joint ventures, commercial transactions, and financing matters.
  • Draft and negotiate a wide variety of corporate documents, including operating agreements, purchase agreements, shareholder agreements, and general commercial agreements.
  • Advise clients on corporate governance issues, entity maintenance, board matters, and compliance.
  • Handle formation, structuring, and restructuring of corporations, LLCs, partnerships, nonprofit corporations, and other entities.
  • Provide day‑to‑day corporate counseling for emerging companies, growth‑stage businesses, and established enterprises.
  • Work directly with Seattle‑based partners and clients to deliver consistent, high‑quality service.
  • Coordinate with attorneys across Seyfarth’s national platform on multi‑office engagements.
  • Supervise and mentor junior associates, paralegals, and case assistants.
  • Contribute to business development initiatives and support expansion of the M&A, financing, and corporate governance practice lines.
  • Help build long‑term client relationships by ensuring responsiveness, efficiency, and continuity.
