About The Position
Taylor English Duma LLP is seeking a highly motivated and experienced Corporate Associate Attorney to join our dynamic and innovative law firm. This position is ideal for candidates with at least 3 years of experience in corporate law, particularly in the areas of securities and mergers and acquisitions (M&A). The successful candidate will have the opportunity to work on complex transactions and play a vital role in a growing and successful practice. As a Corporate Associate Attorney, you will be responsible for advising clients on M&A transactions, including conducting due diligence, drafting and negotiating purchase agreements, and managing closing and post-closing matters. You will also provide counsel on securities offerings, including private placements and public offerings, while ensuring compliance with securities regulations. Additionally, you will advise clients on corporate governance matters, drafting and reviewing essential corporate documents such as bylaws, operating agreements, and shareholder agreements. Your role will encompass handling a broad range of corporate transactions, including equity and debt financings, joint ventures, and strategic alliances. Maintaining and developing client relationships will be crucial, as you will provide proactive legal guidance and ensure the highest level of client satisfaction.
