Applied is seeking an energetic team player to join the Corporate Legal team and Corporate Secretary office. This person will report to a senior attorney on the team and will support securities, governance, public company reporting, and general corporate matters. The successful candidate will have a client-service focus, the ability to identify and analyze complex legal issues, and communicate them effectively to a non-legal audience, and the ability to work independently and collaboratively in a fast-paced, stimulating, and collegial environment.

Requirements

  • JD degree and active membership in state bar.
  • At least 4 years of experience in general corporate matters at a law firm or in-house, including securities law, corporate finance and corporate governance issues.
  • Proactive, highly motivated self-starter with a high level of intellectual, professional and interpersonal agility, combined with strong analytical and problem-solving skills.
  • Excellent written and oral communication skills; ability to communicate complex issues simply and to provide actionable legal advice.
  • Excellent attention to detail and strong organizational and planning skills; capacity to work independently and simultaneously handle a variety of complex matters under deadline pressure.
  • Team-oriented, with proven ability to form strong working relationships and work cross-functionally to drive results.
  • Strategic, creative, practical and open-minded thinking with excellent business judgment and a focus on business outcomes.
  • Comfortable challenging the status quo and ability to address conflict and difficult issues in a professional, assertive and effective manner.
  • Strong sense of humor, high personal standards of excellence, and sound judgment.

Responsibilities

  • Preparation and review of reports filed with the SEC, including disclosures on Forms 10-K, 10-Q and 8-K, and Section 16 reporting.
  • Preparation for quarterly earnings announcements, including review of earnings call scripts, earnings releases and investor presentations, and other internal and external corporate communications.
  • Provide support for the Board of Directors and its committees, including preparation and review of meeting materials, written consents and minutes.
  • Support corporate governance matters, including shareholder engagement, shareholder proposals, and sustainability reporting, research investor and proxy advisory firm policies, and benchmark governance best practices
  • Partner with Treasury on share repurchases, dividends, financings and other matters.
  • Provide advice and counsel on Delaware corporate law, SEC and Nasdaq regulations, and general corporate matters.
  • Remain informed of legislation, regulatory developments, and industry trends affecting the Company, and assist with the development of policies and training as needed.
  • Develop strong relationships with internal clients and colleagues, and work collaboratively across functions to manage risk and find solutions that balance legal risk with the Company’s business objectives.
  • Create, implement and improve processes to mitigate risk and reduce inefficiencies in processes, forms and operations.
  • Actively manage external counsel, advisors, vendors and related budgets.
