About The Position

The Contracts Specialist is responsible for reviewing, editing, and negotiating a variety of transactional contracts (including those with government agencies, private sector organizations, and international entities) as well as managing long-term strategic agreements. Contracts can range in value from zero-dollar transactions to engagements exceeding $50,000,000. The Contracts Specialist will review agreements and other documents to ensure consistency with company standards, templates, and leadership guidance. Additionally, the role involves negotiating terms and conditions with suppliers, customers, and external partners, primarily through virtual platforms such as Teams or Zoom, as well as email. Occasional in-person negotiations and travel may be required but are rare. The Contracts Specialist will report to the Director of Contracts, who will assign tasks and provide oversight. Work requests may also come through the company’s Contract Management System or directly from other internal teams. This role is a critical part of the contracts team, supporting the Director of Contracts as a key partner in achieving organizational goals.

Requirements

  • Experience in international contracting desired.
  • BS/BA degree.
  • Strong knowledge of international procurement laws and regulations (INCOTERMS, International Chamber of Commerce, etc.).
  • Proficiency in Microsoft Office products.
  • Excellent written and verbal communications skills.
  • Self-starter who works well within a team environment.
  • This position requires access or potential access to Unclassified Naval Nuclear Propulsion Information, which is Not Releasable to Foreign Nationals (NOFORN) data. Therefore, to meet NOFORN requirement, you will have to provide proof of US Citizenship and attest that you do not have dual citizenship. Acceptable proof of US Citizenship is a US Passport, US Birth Certificate or Naturalization Certificate.

Responsibilities

  • Review/revise customer terms and conditions so that contract terms align with Fairbanks Morse Defense’s (FMD) risk and liability requirements and best support the FMD business strategy while adequately protecting FMD’s legal interests.
  • Assist Business Unit (BU) teams in negotiating pricing and terms and conditions.
  • Perform contract administration activities in support of FMD government, commercial and international contracts.
  • Draft contract language as required.
  • Draft and negotiate other agreements to which FMD is a party, including teaming agreements, memorandums of understanding, etc.
  • Assist in the preparation of proposals in support of new, existing and change order contracts.
  • Provide advice and assistance to management in identifying and responding to customer-directed changes or any disputes arising during contract performance.
  • Educate BU Leaders and other key staff on the importance of contract control and handling of contract actions.
  • Provide advice to management on U.S. Government, and various foreign governments acquisition rules and regulations.
  • Maintain FMD’s files for all assigned contracts and agreements.
  • Coordinate with legal counsel on all issues as appropriate.
  • Assist BU Leaders and finance personnel on any financially related contract issues.
  • Participate, as required in the generation of internal monthly and quarterly reports reflecting actual and projected orders, EBIT and cash flow.
