About The Position

S2Technologies is seeking a Contracts Manager to serve as a senior member of the Contracts and Compliance team, responsible for overseeing all contractual aspects of federal and commercial agreements. This role is integral to managing a diverse portfolio of contract types, including Firm Fixed Price (FFP), Cost-Reimbursement (CPFF/CPIF), Time & Materials (T&M), Other Transaction Agreements (OTAs), Commercial Solutions Openings (CSOs), and GSA Schedules. The Contracts Manager ensures compliance with applicable laws and regulations (FAR, DFARS), leads contract negotiations, manages subcontracts, and partners with leadership to drive process improvements, mitigate risk, and support company growth.

Requirements

  • Minimum 10 years of progressive experience in government contracts management, including experience with FFP, CPFF, T&M, OTAs, CSOs, and GSA schedules.
  • Advanced understanding of FAR, DFARS, agency supplements, and GSA regulations.
  • Significant experience standardizing contracts processes and leading continuous improvement initiatives.
  • Demonstrate extensive expertise negotiating terms and conditions with government and industry partners.
  • Excellent organizational, analytical, and communication skills.
  • Proficiency in Microsoft Office and contract management systems; experience with SharePoint, Adobe Acrobat Pro, and eBuy platforms.
  • Bachelor's degree in Business Administration, Government Contracting, Legal Studies, or a related field

Responsibilities

  • Lead cradle-to-grave contract management activities for prime and subcontracts.
  • Develop and maintain compliant and auditable contract files and systems.
  • Coordinate contract kick-off meetings and internal handovers post-award.
  • Monitor performance milestones, deliverables, and key deadlines.
  • Prepare and process contract modifications, extensions, and closeouts.
  • Maintain a centralized database for all active and archived contract actions.
  • Administer contracts under FFP, CPFF/CPIF, T&M, OTA, and CSO structures.
  • Ensure compliance with GSA Schedule terms, pricing, and reporting requirements.
  • Support SBIR/STTR awards and related innovation-based contracting vehicles.
  • Interpret and apply relevant FAR, DFARS, and agency-specific regulations.
  • Advise internal teams on appropriate contract types for each opportunity.
  • Review contract funding, ceiling limitations, and billing methodologies.
  • Analyze RFPs, RFIs, RFQs, and CSO/OTA solicitations to identify risks and compliance requirements.
  • Contribute to proposal development by drafting cost narratives and contract volume inputs.
  • Support the development of teaming agreements and subcontractor documentation.
  • Coordinate submission of compliance certifications and representations.
  • Lead contract reviews during color team proposal phases.
  • Serve as contracts liaison on proposal teams to ensure timely, compliant submissions.
  • Draft and negotiate subcontracts, NDAs, consulting agreements, and teaming agreements.
  • Flow down appropriate FAR/DFARS clauses and monitor subcontractor compliance.
  • Track subcontractor deliverables, performance milestones, and billing.
  • Manage subcontractor relationships and act as point of contact for contractual issues.
  • Ensure timely approval and processing of subcontractor invoices.
  • Coordinate socio-economic program compliance (SB, WOSB, SDVOSB, etc.).
  • Maintain contract logs, trackers, and dashboards to support reporting requirements.
  • Submit contract modifications and funding actions to COs and CORs.
  • Ensure timely invoicing and alignment with contract billing terms.
  • Support internal audits and government reviews (DCAA, DCMA, GSA OIG).
  • Verify contract data accuracy across financial, project, and compliance systems.
  • Coordinate contract closeout activities in accordance with FAR requirements.
  • Lead efforts to standardize contracts templates, processes, and policies.
  • Collaborate with leadership to assess and implement tools that enhance contract workflows.
  • Deliver training and onboarding to staff on contract procedures and systems.
  • Support continuous improvement through root cause analysis of contract issues.
  • Develop checklists and toolkits for recurring contract and subcontract actions.
  • Serve as an advisor to senior leadership on contracting trends, risks, and opportunities.
  • Identify, assess, and mitigate contractual risks across all contract types.
  • Negotiate contract terms with federal agencies, primes, and subcontractors.
  • Escalate high-risk contractual matters for legal or executive review.
  • Track changes in regulatory and statutory requirements impacting contracting practices.
  • Develop internal risk registers and mitigation strategies for major programs.
  • Support dispute resolution and claims management, including termination scenarios.
