Requirements

  • Ability to handle a high volume of very detailed work, including review of contract terms and conditions and comparing multiple documents against one another.
  • Highly organized and focused on workflow.
  • Able to understand and analyze legal and business concepts included in contract documents.
  • Capable of working with deadline pressures.
  • Ability to understand and adhere to processes to review, comment, communicate, and assess contractual terms.
  • Ability to create contract abstracts from terms and conditions.
  • Must exercise initiative to work productively with only general supervision and direction.
  • Proven ability to positively influence peers and leaders, and take ownership over challenges to drive solutions and deliver results.
  • Excellent written and verbal communication skills.
  • High degree of organizational skills, computer skills, and written communication skills.

Nice To Haves

  • Familiarity with IronClad document management system is preferred.
  • Proven track record with contract review or with legal concepts, such as contract specialist, legal assistant, or paralegal.
  • Knowledge of commercial insurance coverages.
  • Bachelor’s degree or equivalent level of job-relevant experience required.

Responsibilities

  • Administer contracts from inception to execution, including meeting deadlines and specific contract dates and expirations, and ensuring the specification of agreeable terms and conditions.
  • Ensure contracts are created and that subsequent activities are conducted according to the policies and procedures of the organization.
  • Review proposed customer and vendor contracts, highlighting/redlining unacceptable risks and raising relevant business risks for internal alignment with business owners.
  • Review real estate leases and provide suggested revisions or negotiating terms related to price, financial contingencies, and repairs.
  • Organize and maintain the database of executed contracts.
  • Assist in drafting contract abstracts for common use by sales and procurement staff.
  • Coordinate with discussions with Sonepar legal to aid negotiation of terms & conditions with customers and vendors.
  • Communicate with Finance in editing contracts within established guidelines.
  • Perform most work independently with minimal direct supervision and refer more complex issues to the VP of Finance with possible solutions in mind.
  • Collaborate with sales teams to identify key metrics and business requirements within contracts and support the clarification of such measurements as aligned to business objectives.
