You'll work directly with Matt Flairty, our Head of Legal, and partner closely with David Dold, our Director of Operations. We’re a tight-knit group that values autonomy, pragmatism, and high standards. This isn't a role where you'll be buried in layers of approval or lost in bureaucracy. You'll have real ownership, direct access to leadership, and the trust to make judgment calls that move deals forward. As Commercial Counsel, you'll sit at the heart of Gem's revenue engine as a trusted advisor to our Sales and Go-To-Market teams. You'll collaborate closely with Sales leaders, Deal Desk, Product, and Finance to balance risk with commercial reality. We move quickly and provide practical, business-minded guidance that enable deals while keeping risk in check. This role is ideal for someone who wants their work to have immediate impact. You'll help shape how Gem's commercial legal function scales — building the playbooks, training the teams, and negotiating the deals that fuel our growth.   • Lead enterprise and mid-market contract negotiations: Own the end-to-end negotiation of MSAs, Order Forms, and related commercial documents to drive deals forward
  • Own the relationship with outside counsel on high-stakes, novel legal issues, and strategic partnerships as needed
  • Build a scalable commercial legal function: Develop and maintain templates, playbooks, workflows, and self-serve tools that improve speed and consistency across the GTM organization
  • Manage vendor contracting and procurement: Own the end-to-end vendor agreement process in partnership with our Finance and business function to ensure efficient procurement workflows and appropriate contract terms
  • Guide data privacy & DPA strategy: Lead DPA negotiations and advise Product and Engineering on privacy, data governance, and evolving global requirements (e.g. GDPR, CCPA, etc.)
  • Monitor Regulatory Changes & Advise on AI governance: Support AI governance initiatives by negotiating AI-related terms, responding to customer questions on AI usage and safety, and translating emerging AI regulations into practical guidance
  • 4-6 years of combined commercial/technology transactions experience, with significant time spent in-house at a B2B SaaS or technology company
  • JD from a top-tier law school OR proven success at a reputable law firm in a technology transactions or commercial practice — active bar membership in good standing
  • Proven track record negotiating enterprise MSAs, Order Forms, and DPAs with sophisticated customers and procurement counsel
  • Strong working knowledge of data privacy regulations (GDPR, CCPA) and common security frameworks (SOC 2, ISO 27001)
  • Experience building contract templates, playbooks, and scalable processes
  • Excellent judgment and communication skills
  • High-volume deal management capability
  • Business-minded and pragmatic approach to risk
  • Ideally 1+ YOE in-house at a SaaS company
  • Prior experience at a fast-growing, VC-backed company navigating high growth — extra bonus points if you have experience in HR tech, recruiting tech, or employment SaaS products
  • Familiarity with AI regulations and emerging technology legal frameworks (EU AI Act, state-level AI laws)
  • Background supporting Sales through RFP responses, security questionnaires, and customer compliance inquiries
