StackAdapt is seeking an experienced attorney in the role of Commercial Counsel, reporting to the VP Legal, Commercial. This is a rare and exciting opportunity that allows you to play a key role on an expanding Legal team at a high growth Canadian tech company, and to apply your leadership skills and vision to the role. This individual will be a key member of the Legal team and supporting the Revenue/sales organization, driving commercial transactions to close while ensuring compliance with legal and operational standards. The ideal candidate will have a strong foundation in commercial transactions, a deep understanding of IP issues and data licensing concepts, and the ability to collaborate effectively with key stakeholders and other business teams. Candidates must have at least 5 years of advertising technology or general software platform legal experience, with a focus on transaction support, commercial contract drafting and negotiation, data governance and privacy, advertising and marketing technology and artificial intelligence matters, either in an in-house or law firm setting. This position requires strong negotiation skills and a demonstrated ability to manage commercial and legal risks in the digital media/ad tech industry. The successful candidate possesses a day-to-day ability to think outside the box, and an ability to work collaboratively and dependably with others in a remote setting as part of a highly collaborative remote global Legal team. StackAdapt is a remote-first company. This role is open to candidates located anywhere in Canada or the US. Occasional travel may be required.

Requirements

Practical, business-minded lawyer with at least 5+ years’ relevant experience in an inhouse or reputable firm setting; US experience is preferred
Call to the Bar in one or more Canadian Provinces or one or more US states, with active license to practice law in such jurisdiction(s)
In house experience in advertising, technology, ad tech, data, or media company
A positive, collaborative spirit, and a learning mindset
Adaptable, comfortable with ambiguity, and enjoy a fast-paced environment
Strong attention to detail and ability to handle multiple projects simultaneously
Able to “own”, drive and manage projects from beginning to end, with an internally driven sense of follow through
Professional maturity and integrity
Excellent legal and business judgment and are comfortable balancing legal risks and business strategy
Exceptional writing skills, strong attention to detail, and an ability to create original drafted documents
A desire to mentor and educate non-legal team members in a constructive and motivational way, consistent with StackAdapt culture and values

Responsibilities

Structure, negotiate and draft a wide range of commercial agreements
Provide legal advice to key stakeholders on commercial and legal matters within the business
Provide thought leadership internally and externally
Provide leadership, mentorship and training to StackAdapters
