As Commercial Counsel (Strategic Deals), you will serve as a key legal partner to the business, enabling high-impact commercial relationships that drive revenue and long-term growth. In this role, you will own and negotiate complex strategic transactions, help scale contracting infrastructure, and advise cross-functional leaders on risk-aware deal structures. Over time, you will deepen your influence across sales, partnerships, and product, becoming a trusted counselor who balances speed, pragmatism, and sound legal judgment as the company grows.

Requirements

  • J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction
  • 2–6 years of legal experience, with meaningful time spent negotiating and advising on commercial or strategic transactions
  • Strong drafting and negotiation skills, with the ability to handle complex deal structures independently
  • Proven ability to deliver clear, practical legal guidance in a fast-paced, business-driven environment
  • Excellent communication and collaboration skills, with comfort working cross-functionally with senior stakeholders
  • Sound judgment and a solutions-oriented mindset, balancing legal risk with commercial goals

Responsibilities

  • Lead drafting, review, and negotiation of complex commercial agreements, including strategic partnerships, enterprise customer agreements, licensing deals, and other revenue-generating transactions
  • Partner closely with Sales, Business Development, Finance, and Product to structure deals that align with business objectives while managing legal and regulatory risk
  • Provide practical, business-oriented legal advice on contract interpretation, deal strategy, and risk mitigation throughout the deal lifecycle
  • Develop and maintain scalable contract templates, playbooks, and negotiation guidelines to support a growing commercial organization
  • Support continuous improvement of contracting processes, including tools, workflows, and internal enablement for sales and partnerships teams
  • Stay current on relevant legal and regulatory developments impacting commercial transactions and advise the business accordingly
