YOUR MISSION: At Parloa, your mission as Commercial Counsel is to enable and support our go-to-market organization by leading complex commercial negotiations and ensuring contracts are legally sound, business-oriented, and compliant with US laws (mainly Data Privacy, Health Data, AI regulations). You will act as a trusted legal advisor to the Sales, Partner Management, Customer Success and Finance team – helping us structure, negotiate, and close deals efficiently while managing risk and protecting Parloa’s interests. IN THIS ROLE YOU WILL: Lead legal negotiations for commercial agreements including MSAs, SaaS agreements, partner/reseller agreements, and compliance documents. Provide practical, business-oriented legal guidance to Sales and cross-functional teams on deal structure, risk allocation, and compliance matters. Partner with Sales, Legal, and Finance to ensure contract terms align with internal policies, revenue recognition principles, and commercial strategies. Draft and revise contract language related to business terms and legal obligations, ensuring clarity and enforceability under applicable laws. Maintain and improve contract templates, playbooks, and approval workflows to streamline deal execution. Educate go-to-market teams on contracting best practices, legal risk, and approval processes to enable faster deal cycles. Manage internal stakeholders during high-priority or escalated negotiations to align on risk appetite and deal strategy. Support global compliance initiatives , export controls, and cross-border data transfers.
