The Commercial Transactions Group in Marvell's Legal Department drafts, reviews, negotiates, and manages the company's global commercial agreements. The team partners closely with every business unit and functional group across Marvell, and counsels and provides solutions and business and legal advice on best practices and risks for commercial engagements. This role will be part of the Commercial Transactions Group with a focus on supporting the company's non-disclosure requirements, general contract administration, and ultimately negotiating Marvell buy-side templates. This position plays a crucial role as the entry point in the transaction contract lifecycle.

  • You will be responsible for Marvell's NDA requirements.
  • You will support the management of the new CLM system, including the system design, testing and company-wide deployment.
  • You will manage NDA contract template processes, including systematic reviews of templates and playbooks and incorporation of best contracting practices and provisions.
  • Under the supervision of an attorney, you will draft and prepare certain agreements, such as consulting and professional services agreements, evaluation agreements, amendments to agreements, and statements of work.
  • You will work on projects as necessary to support the attorneys in the Commercial Transactions Group and collaborate on cross-functional projects within the Legal organization.
  • You will support overflow work from the Contracts Administrator and serve as back-up for this role.
  • As applicable, you will assist with M&A projects.
  • You must have a bachelor's degree, and a paralegal certificate is preferred.
  • You must have at 3-5 years of relevant experience.
  • You must be comfortable with technology and have a mastery of Microsoft Office suite and the ability to learn and use contracts lifecycle management systems and applications, including new AI/Legal Ops tools.
  • You must have excellent written and verbal communication skills.
  • You must have the ability to carefully proofread and pay close attention to detail.
  • You must have excellent organizational and record keeping skills.
  • You must be service-oriented, have a positive attitude, collaborate with others effectively, and have the ability to balance multiple tasks in a fast-paced environment.
