About The Position

Orrick currently has an excellent opportunity in our Charlotte N.C. office for a CLO Transactional Paralegal. What Will You Do? As a CLO Paralegal, you will support the delivery of quality legal services to clients by drafting CLO and securitization documents and coordinating with transaction participants. Requisite skills are accuracy, attention to detail, solid organizational skills, strong written and oral communication skills and computer proficiency. You will provide assistance to others in all aspects of finance work, focusing on the organization and maintenance of documents and transactional information. The Paralegal is expected to remain assigned to transactions from inception to completion and may be assigned to all transactions for recurring clients, serving as a key resource and focal point for the financing team. You will perform a wide array of tasks, including but not limited to:

Requirements

  • Bachelor’s degree from an accredited institution or equivalent work experience.
  • Excellent organizational and time management skills; ability to coordinate multiple tasks concurrently.
  • Exceptional attention to detail and accuracy.
  • Strong verbal and written communication skills.
  • Excellent computer skills and proficiency with Windows/Office applications; ability to learn practice-related software.
  • Willingness to learn and use AI tools for appropriate tasks.

  • Ability to think proactively, creatively, and with a problem-solving mindset.
  • Capacity to develop a detailed understanding of complex issues and procedures.

Responsibilities

  • Coordinate and track financing schedules, document flow, and activities for CLO transactions from inception to closing.
  • Prepare, draft, review, and organize transaction documents, including offering circulars, indentures, and officer certificates. Assist in managing virtual data rooms, and conducting legal research. Conduct CLO market research and support due diligence reviews.
  • Facilitate and manage transaction closing schedules, prepare signing/closing checklists, assembling signature packets, prepare and mail original notes, organizing exhibits, and ensuring proper execution of documents.
  • Assist with the preparation, filing, and review of reports and forms required by governmental agencies (e.g., IRS tax documents, state debt issuance filings, UCC financing statements and statutorily required filings).
  • Facilitate the review of borrower organizational, tax due diligence, and project-specific transaction materials.
  • Manage transaction mechanics to enable attorneys to focus on legal strategy, negotiations, and business development.
  • Manage post-closing documents, create closing binders, and track post-closing deadlines (e.g., delivery of stock certificates and other agreements).
  • Perform other tasks as required and other related duties as assigned.
