The Chief Legal Officer (CLO) serves as the Texas Permanent School Fund's (PSF) legal authority and a strategic advisor to the Chief Executive Officer (CEO). Reporting directly to the CEO, the CLO is responsible for shaping and executing legal strategies, managing legal risks, ensuring compliance, and providing legal advice regarding applicable local, state, and federal laws and regulations to the CEO, senior leadership team, and the Board of Directors. The CLO collaborates with the CEO, Chief Financial Officer (CFO), Chief Audit Officer (CAO), and Deputy Chief Investment Officer in strategic planning and problem-solving to ensure effective investment activity. Additionally, the CLO serves as a member of the Executive Committee, contributing to the overall governance and strategic direction of the organization. The Texas Permanent School Fund Corporation was established by Texas' first Constitution in 1845 as a perpetual fund to support the state's public schools, initially seeded with $2 million. Over the years, the PSF Corporation has grown significantly, now comprising over $55 billion in assets and distributing nearly $2.2 billion annually to Texas K-12 schools. The CLO plays a crucial role in overseeing legal and compliance functions, ensuring that these functions align strategically with the long-term goals of the Texas PSF Corporation. This includes overseeing the development and implementation of initiatives and projects related to the corporate strategic plan, preparing agendas, motions, minutes, Board policies and procedures, and attending Board and committee meetings. The CLO is also responsible for overseeing the Compliance function, ensuring adherence to all applicable policies, codes, rules, regulations, and laws. This role involves identifying and mitigating legal risks in business operations and investment opportunities, as well as overseeing the drafting, procurement, and negotiation of solicitations and complex contracts for investments, IT services, and other contracts. The CLO will coordinate and counsel in the drafting of administrative rules and review legislation for potential fiscal and operational impacts, while also managing relationships with external counsel as needed.
