Responsibilities include contract drafting and execution support, due diligence, closings, corporate governance, filings, and coordination with internal administrative teams, while maintaining professionalism with clients and third parties.

Requirements

  • Bachelor’s degree, or ABA‑accredited paralegal certificate, or 10+ years of paralegal experience
  • Strong proficiency with Microsoft Office and legal technology platforms
  • Excellent organization, attention to detail, and time‑management skills
  • Strong written and verbal communication skills
  • Ability to manage confidential information and support multiple attorneys
  • Full‑time, Monday–Friday schedule

  • Target of 100+ billable hours per month

Nice To Haves

  • Prior corporate/transactional paralegal experience, including M&A and due diligence
  • Familiarity with healthcare transactions
  • Experience using AI tools (including Microsoft Copilot) in a legal or professional services setting

Responsibilities

  • Support contract drafting, revisions, execution, and document management
  • Assist with M&A and other corporate transactions from due diligence through closing
  • Prepare and manage closing checklists, execution packets, and post‑closing materials
  • Coordinate and maintain due diligence materials and virtual data rooms
  • Support entity formations, corporate governance, and ongoing compliance filings
  • Order and manage UCC searches, filings, and lien releases
  • Communicate with clients, counsel, and third parties as directed
  • Coordinate closely with administrative teams to support matter intake, filings, and workflow
